INTRODUCTION—COMMERCIAL VERSUS RESIDENTIAL SALES. This chapter deals with the commercial tenancy. It describes the differences between commercial and residential tenan- cies and discusses the attorney’s role in the process of marketing commercial leaseholds. It also contains a detailed ex- amination of the structure of the commercial lease and the function of the lawyer in the leasing transaction. The primary difference between residential and commercial leases is the economic relation of the tenant to the lease transaction. The residential tenant enters into the lease as a consumer, buying use of the leased space as a personal resi- dence. The commercial tenant, on the other hand, enters the lease to acquire a production asset to be used in the course of its business, i.e., as a place to house workers and equipment for an office or industrial tenant or a place from which to sell merchandise for a retail tenant. Put differently, in the commercial lease both the landlord and the tenant enter the transaction as part of a business enterprise, whereas in the residential lease only the landlord is engaged in a business enterprise—the tenant is a consumer. Judicial Commentary The Supreme Judicial Court has escalated significantly the rights of commercial tenants by finally abandon- ing the common law rule of independent covenants in commercial leases in favor of mutually dependent cov- enants as reflected in the Restatement (Second) of Property: Landlord and Tenant § 7.1 (1977).   • Design Development Phase Services 3.3.1 Based on the Owner’s approval of the Schematic Design Documents, and on the Owner’s authorization of any adjustments in the Project requirements and the budget for the Cost of the Work, the Architect shall prepare Design Development Documents for the Owner’s approval. The Design Development Documents shall illustrate and describe the development of the approved Schematic Design Documents and shall consist of drawings and other documents including plans, sections, elevations, typical construction details, and diagrammatic layouts of building systems to fix and describe the size and character of the Project as to architectural, structural, mechanical and electrical systems, and other appropriate elements. The Design Development Documents shall also include outline specifications that identify major materials and systems and establish, in general, their quality levels.

  • BUY AMERICA ACT (National School Lunch Program and Breakfast Program With respect to products purchased by Customers for use in the National School Lunch Program and/or National School Breakfast Program, Contractor shall comply with all federal procurement laws and regulations with respect to such programs, including the Buy American provisions set forth in 7 C.F.R. Part 210.21(d), to the extent applicable. Contractor agrees to provide all certifications required by Customer regarding such programs. In the event Contractor or Contractor’s supplier(s) are unable or unwilling to certify compliance with the Buy American Provision, or the applicability of an exception to the Buy American provision, H-GAC Customers may decide not to purchase from Contractor. Additionally, H-GAC Customers may require country of origin on all products and invoices submitted for payment by Contractor, and Contractor agrees to comply with any such requirement.

  • Clinical Management for Behavioral Health Services (CMBHS) System The CMBHS is the official record of documentation by System Agency. Grantee shall:

  • Authorized User Overview and Mini-Bid Process Project Based IT Consulting Services Contracts enable Authorized Users to use a competitive Mini-bid Process to acquire Services on an as-needed basis, for qualified IT Projects. Project Based IT Consulting Services may include, but will not be limited to projects requiring: analysis, data classification, design, development, testing, quality assurance, security and associated training for Information Technology based applications. See section 1.3 Out of Scope Work for a listing of projects expressly excluded from the scope of this Contract. An Authorized User Agreement for Project Based IT Consulting Services will be governed first by the terms and conditions specified in the OGS Centralized Contract and second by terms and conditions added to the Authorized User Statement of Work. In accordance with Appendix B, section 28, Modification of Contract Terms, an Authorized User may add additional required terms and conditions to this Mini-Bid and resultant Authorized User Agreement only if such terms and conditions (1) are more favorable to the Authorized User and (2) do not conflict with or supersede the OGS Centralized Contract terms and conditions. Examples of additional terms and conditions include: • Expedited delivery timeframe; • Additional incentives, such as discount for expedited payment/Procurement Card use; and • Any additional requirements imposed by the funding source or Federal law.
