Inventory at Approved Warehouses. At each Quarterly Business Review, parties shall mutually agree on appropriate quantities of Products at each Approved Warehouse (the “Stored Inventory”). Manufacturer agrees to maintain the Stored Inventory at each Approved Warehouse. The parties acknowledge that, based upon the weekly expected quantities set forth in the Quarterly Forecast, three (3) weeks of Zebra’s expected quantities for Products constitutes the benchmark amount for the Stored Inventory. The parties shall work together to determine the appropriate inventory of a Product required for end of life of a Product. Manufacturer shall replenish the inventory at Approved Warehouses as necessary to ensure the required inventory of Products is on hand at all times. Manufacturer shall provide Zebra weekly inventory management reports indicating the operation and activity of each Approved Warehouse with respect to prudent inventory practices.
