Investigations and Availability of Records. Meridex and its directors, officers, auditors, counsel and other authorized representatives will be permitted to make such commercially reasonable investigations of the properties, the BSI Assets and businesses of BSI and of its financial and legal conditions as Meridex reasonably deems necessary or desirable, provided always that such investigations will not unduly interfere with the operations of BSI. If reasonably requested, BSI will provide copies of the corporate records of BSI, including its minute books, share ledgers and the records maintained in connection with the businesses of BSI. Such investigations will not, however, affect or mitigate in any way the representations and warranties contained in this Agreement, which representations and warranties will continue in full force and effect for the benefit of Meridex.
Investigations and Availability of Records. 9.1 The Purchaser and/or its directors, officers, auditors, counsel and other authorized representatives shall be permitted to make such commercially reasonable investigations of the Assets and business of the Vendor and of its financial and legal condition as the Purchaser reasonably deems necessary or desirable, provided always that such investigations shall not unduly interfere with the operations of the Vendor. If reasonably requested, the Vendor shall provide copies of the Vendor’s corporate records, including its minute books, share ledgers and the records maintained in connection with the business of the Vendor. Torino and/or its directors, officers, auditors, counsel and other authorized representatives shall be permitted to make such commercially reasonable investigations of the Assets and business of SAS and of their respective financial and legal condition as Torino reasonably deems necessary or desirable, provided always that such investigations shall not unduly interfere with the operations of SAS as applicable. If reasonably requested, SAS shall provide copies of their respective corporate records, including their minute books, share ledgers and the records maintained in connection with the business of SAS, as applicable. Such investigations will not, however, affect or mitigate in any way the representations and warranties contained in this Agreement, which representations and warranties shall continue in full force and effect for the benefit of Torino.

If reasonably requested, the Purchaser shall provide copies, at the cost of ETS, of the Purchaser's corporate records, including its minute books, share ledgers and the records maintained in connection with the business of the Purchaser. Such investigations will not, however, affect or mitigate in any way the representations and warranties contained in this Agreement, which representations and warranties shall continue in full force and effect for the benefit of ETS.
Investigations and Availability of Records. During the Interim Period, the Company shall permit the Purchaser's Advisors to have free and unrestricted access to the premises of the Company and the Company's property and assets, including access to the Books and Records, all Company Material Contracts and the senior Employees of the Company, to make such investigations of the Business and the property and assets of the Company (including its legal, financial and tax condition and its compliance with applicable Laws) as the Purchaser deems reasonably necessary (acting in good faith), it being understood that those investigations will be carried out during normal business hours and without undue interference with the operations of the Company, and the Company shall co-operate fully in facilitating those investigations and furnish copies of all documents and materials relating to those matters as may be reasonably requested by or on behalf of the Purchaser.

Naked and/or its directors, officers, auditors, counsel and other authorized representatives will be permitted to make such commercially reasonable investigations of the SBH Assets and business of SBH, and of its financial and legal condition, as Naked reasonably deems necessary or desirable, provided always that such investigations will not unduly interfere with the operations of SBH. If requested, SBH will provide copies of SBH's corporate records, including its minute books, share ledgers and the records maintained in connection with the business of SBH. Such investigations will not, however, affect or mitigate in any way the representations and warranties contained in this Agreement, which representations and warranties will continue in full force and effect for the benefit of Naked.

Foro and its directors, officers, auditors, counsel and other authorized representatives shall be permitted to make such commercially reasonable investigations of the property, assets and business of the Purchaser and of its financial and legal condition as Foro reasonably deems necessary or desirable, provided that such investigations shall not unduly interfere with the operations of the Purchaser. If reasonably requested, the Purchaser shall provide copies, at the cost of Foro, of the Purchaser's corporate records, including its minute books, share ledgers and the records maintained in connection with the business of the Purchaser. Such investigations will not, however, affect or mitigate in any way the representations and warranties contained in this Agreement, which representations and warranties shall continue in full force and effect for the benefit of Foro.

Subject as hereinafter provided, between the date hereof and the Closing Date the Vendor shall permit the Purchaser to make such investigations of the Business and the Purchased Assets as the Purchaser reasonably deems necessary or desirable to confirm the representations and warranties of the Vendor contained herein; provided that such investigations shall be carried out without undue interference with the operations of the Business and the Vendor shall co-operate in facilitating such investigations and shall furnish copies, at the Purchaser's cost, of all such documents and materials relating to such matters as may be reasonably requested by or on behalf of the Purchaser.

During the Interim Period, the Canadian Vendors shall permit the Purchasers’ Advisors, representatives of the Purchasers’ lenders and representatives of the provider of the Representations and Warranties Insurance Policy, if applicable, to have reasonable access subject to the terms of the Confidentiality Agreement, during regular business hours and upon reasonable notice to the property and assets of the Canadian Holding Companies, the Canadian Subsidiaries and the US Subsidiaries, including the Books and Records, and to the Canadian Employees and US Employees who are managers to make such investigations of the Canadian Business and US Business, as applicable, and the property and assets of the Canadian Subsidiaries and US Subsidiaries and their legal, financial and tax condition and their compliance with Environmental Laws and other Applicable Laws as the Canadian Purchaser and the US Purchaser, as applicable, deems necessary or desirable; provided that such investigations shall be carried out during normal business hours and without undue interference with the operations of the Canadian Subsidiaries and the US Subsidiaries subject to the requirements of Applicable Laws (in particular, in respect of press release requirements), and without disclosing to third parties the existence, nature or terms and conditions of the transactions contemplated by this Agreement, and the Canadian Vendors shall co-operate fully in facilitating such investigations and shall furnish copies of all such documents and materials relating to such matters as may be reasonably requested by or on behalf of the Canadian Purchaser.
