Investment Advisory, Origination and Acquisition Services. The Manager shall:
(i) approve and oversee the Company’s overall investment strategy, which will consist of elements such as investment selection criteria, diversification strategies and asset disposition strategies;
(ii) serve as the Company’s investment and financial manager with respect to originating, investing in and managing a diversified portfolio of commercial real estate loans, preferred equity investments in commercial real estate and other select commercial real estate investments and real estate-related assets;
(iii) adopt and periodically review the Company’s investment guidelines;
(iv) approve joint ventures, limited partnerships and other such relationships with third parties;
(v) approve any potential liquidity transaction;
(vi) obtain market research and economic and statistical data in connection with the Company’s investments and investment objectives and policies;
(vii) oversee and conduct due diligence processes related to prospective investments;
(viii) prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Manager’s investment committee to evaluate the proposed investments; and
(ix) negotiate and execute approved investments and other transactions.

(i) approve and oversee the Company’s overall investment strategy, which will consist of elements such as investment selection criteria, diversification strategies and asset disposition strategies;
(ii) serve as the Company’s investment and financial manager with respect to sourcing, underwriting, acquiring, financing, originating, servicing, investing in, redeveloping and eventually selling a diversified portfolio of single-family attached and detached homes, townhomes and condominiums targeted to first-time, move-up and active adult homebuyers;
(iii) adopt and periodically review the Company’s investment guidelines;
(iv) structure the terms and conditions of our acquisitions, sales and joint ventures;
(v) approve and oversee our debt financing strategies;
(vi) approve joint ventures, limited partnerships and other such relationships with third parties;
(vii) approve any potential liquidity transaction;
(viii) obtain market research and economic and statistical data in connection with the Company’s investments and investment objectives and policies;
(ix) oversee and conduct due diligence processes related to prospective investments;
(x) prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Manager’s investment committee to evaluate the proposed investments; and
(xi) negotiate and execute approved investments and other transactions.

(vi) approve and oversee the Company’s debt financing strategies;
(vii) approve joint ventures, limited partnerships and other such relationships with third parties;
(viii) approve any potential liquidity transaction;
(ix) obtain market research and economic and statistical data in connection with the Company’s investments and investment objectives and policies;
(x) oversee and conduct due diligence processes related to prospective investments;
(xi) prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Manager’s investment committee to evaluate the proposed investments; and
(xii) negotiate and execute approved investments and other transactions.

(i) develop, approve and oversee the Company’s overall investment strategy, which will consist of elements such as investment selection criteria, diversification strategies and asset disposition strategies;
(ii) design and implement the structure of the Company, including form and ownership of subsidiaries, to give the Company maximum investment flexibility while qualifying as a REIT and as a Qualified Fund;

(i) develop, approve and oversee the Company’s overall investment strategy, which will consist of elements such as investment selection criteria, diversification strategies and asset disposition strategies;
(ii) serve as the Company’s investment and financial manager with respect to originating, investing in and managing a diversified portfolio of commercial real estate loans, preferred equity investments in commercial real estate and other select commercial real estate investments and real estate-related assets;
(iii) adopt and periodically review the Company’s investment guidelines and limits;
(iv) adopt and periodically review the Company’s social impact guidelines, criteria, and objectives;
(v) approve any advisory relationships with respect to the Company’s social impact strategy;
(vi) approve and oversee the Company’s debt financing strategies;
(vii) approve joint ventures, limited partnerships and other such relationships with third parties;
(viii) approve any potential liquidity transaction;
(ix) obtain market research and economic and statistical data in connection with the Company’s investments and investment objectives and policies;
(x) oversee and conduct due diligence processes related to prospective investments;
(xi) prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Manager’s research committee to evaluate the Company’s overall investment portfolio, specific proposed investments or any proposed changes to the Company’s investment guidelines, including changes to the Company’s social impact criteria; and
(xii) negotiate and execute approved investments and other transactions.

(i) approve and oversee the Company’s overall investment strategy, which will consist of elements such as investment selection criteria, diversification strategies and asset disposition strategies;

(v) approve and oversee the Company’s debt financing strategies;
(vi) approve joint ventures, limited partnerships and other such relationships with third parties;
(vii) approve any potential liquidity transaction;
(viii) obtain market research and economic and statistical data in connection with the Company’s investments and investment objectives and policies;
(ix) oversee and conduct due diligence processes related to prospective investments;
(x) prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Manager’s investment committee to evaluate the proposed investments; and
(xi) negotiate and execute approved investments and other transactions.

(i) serve as the Company’s investment and financial manager with respect to acquiring, investing in and managing a diversified portfolio of commercial real estate, preferred equity investments in commercial real estate and other select commercial real estate investments and real estate-related assets;
(ii) oversee and administer the Company’s debt financing strategies;
(iii) arrange joint ventures, limited partnerships and other such relationships with third parties;
(iv) advise the Board with respect to the timing and method of providing liquidity opportunities to the Stockholders;
(v) obtain market research and economic and statistical data in connection with the Company’s investments and investment objectives and policies;
(vi) oversee and conduct due diligence processes related to prospective investments; and
(vii) negotiate and execute approved investments and other transactions.

(b) serve as the Fund’s investment and financial manager with respect to originating, investing in and managing a diversified portfolio of commercial real estate loans, preferred equity investments in commercial real estate and other select commercial real estate investment and real estate-related assets;
(c) approve and oversee the Fund’s debt financing strategies;
(d) approve joint ventures, limited partnerships and other such relationships with third parties;
(e) approve any potential liquidity transaction;
(f) obtain market research and economic and statistical data in connection with the Fund’s investments and investment objectives and policies; and
(g) negotiate and execute approved investments and other transactions.
Investment Advisory, Origination and Acquisition Services. The Advisor shall:
(i) serve as the Company’s investment and financial manager with respect to acquiring, investing in and managing a portfolio of real estate investments and real estate-related assets;
(ii) oversee and administer the Company’s debt financing strategies;
(iii) arrange joint ventures, limited partnerships and other such relationships with third parties;
(iv) advise the Board with respect to the timing and method of providing liquidity opportunities to the Stockholders;
(v) obtain market research and economic and statistical data in connection with the Company’s investments and investment objectives and policies;
(vi) oversee and conduct due diligence processes related to prospective investments; and
(vii) negotiate and execute approved investments and other transactions.
