Investment limit. The Acquiring Fund acknowledges and agrees that:
Investment limit. Including the amount set forth on the signature page herto, in the past 12-month period, the Investor has not exceeded the investment limit as set forth in Rule 100(a)(2) of Regulation Crowdfunding.
Investment limit. The Purchase Price set out on the Prospective Investor’s signature page to this Subscription Agreement (together with any other amounts previously paid to purchase Shares in the Offering) does not exceed ten percent (10%) of the Prospective Investor’s annual income (or, in the case of a corporate entity, the entity’s prior year’s net income) or ten percent (10%) of the Prospective Investor’s net worth (excluding his or her home), whichever is greater.
Investment limit. (Unrestricted Subsidiaries) means, on any date of determination, the sum of (a) $100,000,000, plus (b) 15% of Total Assets, plus (c) net reductions in investments permitted by Section 10.8(l) as a result of (i) dispositions of any such investments sold or otherwise liquidated or repaid to the extent of the net cash proceeds and the fair market value of any assets or property (as determined in good faith by the Board of Directors of VRI) received, (ii) dividends reducing any such investment, repayment of the outstanding principal amount of loans or advances, or other transfers of assets to VRI or any Restricted Subsidiary of VRI, or (iii) the portion (proportionate to VRI’s direct or indirect interest in the equity of a Person) of the fair market value of the net assets of an Unrestricted Subsidiary immediately prior to the time such Unrestricted Subsidiary is designated or becomes a Restricted Subsidiary of VRI in accordance with Sections 9.10 or 9.11(b) of this Agreement, plus (d) at Borrower’s election, up to 25% of the sum of clauses (a) through (c) of the definition of Investment Limit (Minority Investments).
Investment limit. Section 6.6(a)(i) of the Loan Agreement is, effective as of January 1, 1999, amended and restated in its entirety as follows:
Investment limit. In calculating the amount that may be invested in any organization under this section and §§ 211.9 and 211.10 of this part, there shall be included any unpaid amount for which the investor is liable and any investments in the same organization held by affiliates under any authority.
