ISSUANCE OF THE SERIES 1996 REFUNDING BONDS. Section 3.1. ISSUANCE OF THE SERIES 1996 REFUNDING BONDS; APPLICATION OF PROCEEDS. To provide funds for the purpose of financing the facilities of the Project, the Issuer will issue, sell and deliver each series of the Series 1996 Refunding Bonds to the Original Purchaser upon the satisfaction of the requirements specified in the Indenture and upon execution and delivery of and satisfaction of the conditions contained in the applicable Purchase Agreement. The Series 1996 Refunding Bonds will be issued pursuant to the Indenture in the aggregate principal amount, will bear interest, will mature and will be subject to redemption as set forth therein. The Company hereby approves the terms and conditions of the Indenture, the Purchase Agreement and the Series 1996 Refunding Bonds, and of the terms and conditions under which the Series 1996 Refunding Bonds will be issued, sold and delivered. The Company shall carry out any duties or obligations imposed upon it by the Indenture. The proceeds from the sale of the Series 1996 Refunding Bonds shall be paid over to the Trustee for the benefit of the Company and the Owners of the Series 1996 Refunding Bonds and deposited as follows: (a) a sum equal to any accrued interest paid by the Original Purchaser on the Series 1996 Refunding Bonds shall be deposited in the Series 1996 Bond Fund and (b) the balance of the proceeds of the Series 1996 Refunding Bonds shall be deposited in the Refunding Fund. Pending disbursement pursuant to Section 3.2 hereof the proceeds so deposited in the Refunding Fund, together with any investment earnings thereon, shall constitute a part of the Revenues in which a security interest is granted by the Issuer to secure the payment of Bond Service Charges with respect to the Series 1996 Refunding Bonds as provided in the Indenture. At the request of the Company, and for the purposes and upon fulfillment of the conditions specified in the Indenture, the Issuer may provide for the issuance, sale and delivery of Additional Bonds and provide the proceeds from the sale thereof to the Company.

  • Refunding Bonds In the event that an offer shall be made by an obligor of any of the Bond in a Trust to issue new obligations in exchange and substitution for any issue of Bonds pursuant to a plan for the refunding or refinancing of such Bonds, the Depositor shall instruct the Trustee in writing to reject such offer and either to hold or sell such Bonds, except that if (1) the issuer is in default with respect to such Bonds or (2) in the opinion of the Depositor, given in writing to the Trustee, the issuer will probably default with respect to such Bonds in the reasonably foreseeable future, the Depositor shall instruct the Trustee in writing to accept or reject such offer or take any other action with respect thereto as the Depositor may deem proper. Any obligation so received in exchange shall be deposited hereunder and shall be subject to the terms and conditions of this Indenture to the same extent as the Bonds originally deposited hereunder. Within five days after such deposit, notice of such exchange and deposit shall be given by the Trustee to each Unitholder of such Trust, including an identification of the Bonds eliminated and the securities substituted therefor.

  • Issuance of the Bonds The Authority shall issue the Bonds under and in accordance with the Indenture, subject to the provisions of the bond purchase agreement among the Authority, the initial purchaser or purchasers of the Bonds and the Company.   • Refunding (i) Swingline Loans shall be refunded by the Revolving Credit Lenders on demand by the Swingline Lender. Such refundings shall be made by the Revolving Credit Lenders in accordance with their respective Revolving Credit Commitment Percentages and shall thereafter be reflected as Revolving Credit Loans of the Revolving Credit Lenders on the books and records of the Administrative Agent. Each Revolving Credit Lender shall fund its respective Revolving Credit Commitment Percentage of Revolving Credit Loans as required to repay Swingline Loans outstanding to the Swingline Lender upon demand by the Swingline Lender but in no event later than 1:00 p.m. on the next succeeding Business Day after such demand is made.   • Trust Issuance of Series Shares The delivery of Series shares shall be made promptly by a credit to a shareholder's open account for the Series or by delivery of a share certificate. The Trust reserves the right (a) to issue Series shares at any time directly to the shareholders of the Series as a stock dividend or stock split, (b) to issue to such shareholders shares of the Series, or rights to subscribe to shares of the Series, as all or part of any dividend that may be distributed to shareholders of the Series or as all or part of any optional or alternative dividend that may be distributed to shareholders of the Series, and (c) to sell Series shares in accordance with the current applicable prospectus of the Trust relating to the Series shares.
