Joint Intellectual Property Committee. As soon as practicable after the Effective Date, the Parties shall form a joint intellectual property committee (the “Joint Intellectual Property Committee” or “JIPC”). The JIPC shall comprise no more than four (4) members, and shall be composed of an equal number of representatives from each Party.
Joint Intellectual Property Committee. Promptly after the Effective Date, the JSC shall establish a Joint IP Committee (“JIPC”). The JIPC shall have primary responsibility for establishing a strategy for the prosecution, maintenance and enforcement of intellectual property rights relating to the Collaboration Product, together with such other matters as are delegated to the JIPC by the JSC. The JIPC shall have primary responsibility for the matters set forth in Section 3.1.2(k), together with such other matters as are delegated to the JIPC by the JSC.
Joint Intellectual Property Committee. Within [***] days after the Effective Date, the Parties shall establish a joint intellectual property committee (the “Joint Intellectual Property Committee” or “JIPC”).
3.4.1. The JIPC will be responsible for:
3.4.1.1. Consistent with Section 11, overseeing all intellectual property related issues arising under this Agreement, including strategies for prosecution and maintenance of all Joint IP and CoDev Product Compound Specific Patents;
3.4.1.2. preparing reports and guidance related to such intellectual property issues; and
3.4.1.3. making such determinations as are expressly delegated to it under the terms of this Agreement.
3.4.2. Unless otherwise agreed upon between the Parties, the JIPC shall be comprised of [***] member of each Party. All JIPC representatives will have appropriate expertise, seniority, decision-making authority, and ongoing familiarity with the subject matter of this Agreement and each Party’s representatives collectively will have relevant expertise in intellectual property portfolio management. Decision-making by the JIPC shall be as set forth in Section 3.6.2.
3.4.3. The JIPC will meet at least [***] each Calendar Year (or more if agreed upon), with the Co-Chairs (and optional the Alliance Managers) attending in person at least [***] per Calendar Year.
Joint Intellectual Property Committee. The JIPC shall provide a platform for the exchange of information between the Parties, and for decision-making with respect to actions allocated to the Parties under ARTICLE VIII, relating to the filing, prosecution and maintenance of all Patent Rights licensed by one Party to the other in Sections 2.3 and 2.4; provided, that the Parties shall discuss filing, prosecution and maintenance of the Merus Platform IP only with respect to the Licensed Antibodies and Licensed Products. As soon as practicable following the Effective Date (but in no event more than [**] following the Effective Date), each Party shall designate its [**] representatives on the JIPC. A representative of Incyte shall act as the chairperson of the JIPC. The chairperson shall not have any greater authority than any other representative on the JIPC and shall conduct the following activities of the JIPC: (A) calling meetings of the JIPC at least every quarter; (B) preparing and issuing minutes of each such meeting within [**] thereafter; and (C) preparing and circulating an agenda for the upcoming meeting.
Joint Intellectual Property Committee. As soon as practicable after the Effective Date, the Parties shall form a joint intellectual property committee (the “Joint Intellectual Property Committee” or “JIPC”). The JIPC shall comprise no more than [***] members, and shall be composed of an equal number of representatives from each Party. The Parties may allow additional employees and consultants to attend meetings of the JIPC subject to the confidentiality provisions of Section 7. [***] Portions of this exhibit have been redacted pursuant to a confidential treatment request. An unredacted version of this exhibit has been filed separately with the Commission.
Joint Intellectual Property Committee. Within thirty (30) days after the Effective Date, the Parties shall establish a joint intellectual property committee (the “Joint Intellectual Property Committee” or “JIPC”).
(a) The JIPC will be responsible for:
(i) overseeing all intellectual property related issues arising under this Agreement, including strategies for prosecution and maintenance of all Pieris IP, Servier IP, and Joint IP with the exception of Pieris Platform IP and Pieris Platform Improvement IP;
(ii) preparing reports and guidance related to such intellectual property issues to be submitted to the JSC; and
(iii) making such determinations as are expressly delegated to it under the terms of this Agreement.
Joint Intellectual Property Committee. (i) The JIPC shall provide a platform for the exchange of information between the Parties, and for decision-making with respect to actions allocated to the Parties under ARTICLE VIII, relating to the filing, prosecution and maintenance of all Patent Rights licensed by one Party to the other in Sections 2.3 and 2.4; provided, that the Parties shall discuss filing, prosecution and maintenance of the Merus Platform IP only with respect to the Licensed Antibodies and Licensed Products. As soon as practicable following the Effective Date (but in no event more than [*] following the Effective Date), each Party shall designate its [*] representatives on the JIPC. (ii) The JIPC shall discuss the following with respect to Patent Rights described under Section 3.2(h)(i): (A) [*]; (B) [*]; and (C) [*], except with respect to [*]. With respect to [*], the JIPC shall discuss [*] the Licensed Antibodies or the Licensed Products. In discussing the foregoing matters, the JIPC shall [*] Parties and shall [*] Intellectual Property [*] under this agreement to both Parties including the [*] one Party to the other. The applicable Party or the Parties shall determine such foregoing matters as set forth in ARTICLE VIII based on decision-making of the JIPC with respect to the foregoing matters.
Joint Intellectual Property Committee. Promptly after the Effective Date, the Parties shall establish a joint intellectual property committee (“JIPC”) to serve as a forum for providing periodic updates to the Parties with respect to developments related to the Licensed Patent Rights and Patent Rights disclosing Joint Product Technology and for coordinating the Parties respective obligations to each other pursuant to Section 9. The JIPC shall be comprised of at least one (1) representative of each Party. Each Party may change its representative(s) as it deems appropriate by written notice to the other Party; provided that each representative is an officer or employee of the applicable Party or its Affiliate who has sufficient experience and responsibility within such Party to make decisions arising within the scope of the JIPC’s responsibilities. As agreed upon by the Parties, meetings of the JIPC may be face-to-face or may be conducted by teleconferences or videoconferences, from time to time as reasonably requested by either Party, but no less frequently than [***], unless otherwise agreed to by the Parties.
Joint Intellectual Property Committee. The Parties hereby establish a joint intellectual property committee (the “JIPC”), composed of one (1) patent counsel or agent of each Party to coordinate intellectual property related activities under this Agreement. (a) coordinate the Parties’ patent prosecution and enforcement activities under Article 10, and make periodic reports of the same to the JSC and other Committees upon request; (b) review and discuss Inventions (including inventorship and ownership) generated from the Parties’ activities under this Agreement; and (c) perform such other functions as may be appropriate to further the purposes of this Agreement with respect to intellectual property related activities under this Agreement; provided that in no event will the JIPC or any other Committee have any decision-making authority with respect to any intellectual property-related activity that is allocated to one of the Parties under this Agreement.
