KFIN TECHNOLOGIES LIMITED. This Registrar Agreement (the “Agreement”) is made at Mumbai on the 8th day of May, 2023 by and among: JSW INFRASTRUCTURE LIMITED, a public limited company incorporated under the Companies Act, 1956 and having its registered office at JSW Centre, Bandra Kurla Complex, Bandra (East), Mumbai, Maharashtra 400051, India (hereinafter referred to as “Company”, which expression shall, unless repugnant to the context or meaning thereof, be deemed to mean and include its successors in interest and permitted assigns) of the FIRST PART; AND KFIN TECHNOLOGIES LIMITED (formerly known as KFin Technologies Private Limited), a public limited company incorporated under the Companies Act, 2013, as amended, and having its registered office at Selenium Tower B, Plot Xx. 00 &00, Xxxxxxxxx Xxxxxxxx, Xxxxxxxxxxxx, Serilingampally, Hyderabad, Rangareedi- 500 032, Telangana, India (hereinafter referred to as “Registrar”, which expression shall, unless repugnant to the context or meaning thereof, be deemed to mean and include its successors in interest and permitted assigns) of the SECOND PART. In this Agreement:

KFIN TECHNOLOGIES LIMITED a company incorporated under the Companies Act, 2013, as amended and having its registered office at Xxxxxxxx Xxxxx X, Xxxx 00&00, Xxxxxxxxxx, Financial District, Nanakramguda, Serilingampally, Hyderabad, Telangana 500 032 (hereinafter referred to as the “Registrar”, or “Registrar to the Offer” which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include its successors and permitted assigns); of the THIRD PART. In this Agreement, the Company, the Selling Shareholders and the Registrar are together referred to as “Parties”, and individually as “Party”, as the context may require.

(ii) Kotak Securities is hereinafter referred to as the “Syndicate Member”.
