KNOWLEDGE REGARDING THE BUSINESS. Buyer and Shareholder are sophisticated investors and have experience in the management and operation of business similar to those of the Restaurant and are therefore familiar with the operation of the Restaurants and with the assets to be purchased and the liabilities to be assumed under this Agreement. As a result, Buyer and Shareholder possess sufficient knowledge of and information pertaining to the Restaurants to enable each of them to make an informed decision regarding the purchase of the Purchased Assets and assumption of the Liabilities pursuant to this Agreement.

KNOWLEDGE REGARDING THE BUSINESS. Buyer hereby acknowledges that its principals Xxxxxx Xxxxx and Xxxxxxx Xxx (individually and collectively, the "Principals") have extensive experience in the management and operation of Denny's restaurants and have been responsible for the operations of the Restaurants. Principals are therefore familiar with the operation of the Restaurants and with the type of assets to be purchased and liabilities to be assumed under this Agreement, and that as a result Buyer possesses sufficient knowledge of and information pertaining to the Restaurants to enable it to make an informed decision regarding the purchase of the Purchased Assets and assumption of the Assumed Liabilities pursuant to this Agreement.
KNOWLEDGE REGARDING THE BUSINESS. Buyer acknowledges that (i) Buyer has had the opportunity to review the financial condition, assets, liabilities and results of operations pertaining to the operations of the Restaurants, (ii) all materials and information requested by Buyer have been provided to Buyer, and (iii) Buyer has conducted its own independent physical examination and inspection of the Restaurants and the Purchased Assets (including a review of the books, contracts, documents and records related to the operation of the Restaurants) and has made its own independent determination of the value thereof. Buyer possesses sufficient knowledge of and information pertaining to the Restaurants to enable it to make an informed decision regarding the purchase of the Purchased Assets and assumption of the Liabilities pursuant to this Agreement.

  • Disclosure Regarding the Sub-Adviser (a) The Sub-Adviser has reviewed the disclosure about the Sub-Adviser contained in the Fund's registration statement and represents and warrants that, with respect to such disclosure about the Sub-Adviser or information related, directly or indirectly, to the Sub-Adviser, such registration statement contains, as of the date hereof, no untrue statement of any material fact and does not omit any statement of a material fact which is required to be stated therein or necessary to make the statements contained therein not misleading.

  • Knowledge Whenever a representation or warranty or other statement in this Agreement (including, without limitation, Schedule I hereto) is made with respect to a Person's "knowledge," such statement refers to such Person's employees or agents who were or are responsible for or involved with the indicated matter and have actual knowledge of the matter in question.

Purchaser further represents that neither Sellers nor any of their Affiliates nor any other Person has made any representation or warranty, express or implied, as to the accuracy or completeness of any information regarding Sellers or any of their Affiliates, the Business or the transactions contemplated by this Agreement not expressly set forth in this Agreement, and none of Sellers, any of their Affiliates or any other Person will have or be subject to any liability to Purchaser or any other Person resulting from the distribution to Purchaser or its representatives or Purchaser’s use of, any such information, including any confidential memoranda distributed on behalf of Sellers relating to the Business or other publications or data room information provided to Purchaser or its representatives, or any other document or information in any form provided to Purchaser or its representatives in connection with the sale of the Business and the transactions contemplated hereby. Purchaser acknowledges that it has conducted to its satisfaction, its own independent investigation of the Business and, in making the determination to proceed with the transactions contemplated by this Agreement Purchaser has relied on the results of its own independent investigation.

  • Certain Additional Actions Regarding Intellectual Property If any Event of Default shall have occurred and be continuing, upon the written demand of the Collateral Agent, each Pledgor shall execute and deliver to the Collateral Agent an assignment or assignments of the registered Patents, Trademarks and/or Copyrights and Goodwill and such other documents as are necessary or appropriate to carry out the intent and purposes hereof. Within five (5) Business Days of written notice thereafter from the Collateral Agent, each Pledgor shall make available to the Collateral Agent, to the extent within such Pledgor’s power and authority, such personnel in such Pledgor’s employ on the date of the Event of Default as the Collateral Agent may reasonably designate to permit such Pledgor to continue, directly or indirectly, to produce, advertise and sell the products and services sold by such Pledgor under the registered Patents, Trademarks and/or Copyrights, and such persons shall be available to perform their prior functions on the Collateral Agent’s behalf.

  • The Business The parties acknowledge that the Company is engaged in the development, marketing and sale of certain proprietary technologies, processes and related products in the areas of chemical detection, technical processes, and technical/business services, and that the Company may also from time to time become or may intend to become engaged in other business endeavors (individually and collectively, the "BUSINESS"). The Company shall be deemed to intend to become engaged in a business endeavor if it has devoted or expended any significant resources, either financial or human resources, towards the proposed endeavor, either in planning or implementing the undertaking of such planned endeavor.

  • Knowledge of Seller Where any representation or warranty contained in this Agreement is expressly qualified by reference to knowledge, Seller confirms that it has made or caused to be made due and diligent inquiry as to the matters that are the subject of such representations and warranties.

  • Prior Actions and Knowledge I represent and warrant that from the time of my first contact or communication with the Company, I have held in strict confidence all Proprietary Information and have not (i) disclosed any Proprietary Information or delivered any Company Materials to anyone outside of the Company or any affiliate or related entity of the Company, or (ii) used, copied, published, or summarized any Proprietary Information or removed any Company Materials from the business premises of the Company, except to the extent necessary to carry out my responsibilities as an employee of the Company.
