Land Claim and Project Development. As a condition to the Developer's -------------------------------------- performance of its obligations hereunder, the Tribe agrees, upon execution of this Agreement, to utilize its best efforts, upon terms and conditions acceptable to the Tribe, to: (a) settle its Land Claims with the State of New York and obtain, as part of that settlement, a Compact containing the right to develop and operate the Facilities on the Property, (b) make application to the United States Department of the Interior for the Property to be taken into trust by the United States for the purposes of permitting the Tribe to develop and operate the Facilities, (c) enter into an agreement with applicable local governing bodies providing for appropriate incentives to permit development of the Project and (d) such other agreements relating to the Project as may be in the Developer's and the Tribe's best interests.

  • Clinical Development (a) Stellartech shall design, develop and construct a Clinical Unit for each of the Thermage Disposable Device and the Thermage Generator, and any required component or subassembly thereof and shall deliver such Clinical Units to Thermage in accordance with the Development Program; (b) Stellartech shall deliver to Thermage such other Deliverables as are contemplated by the Development Program in accordance with the Development Program; and (c) as requested by Thermage and automatically at the conclusion of the Development Program, Stellartech, so long as Thermage is not in breach of its material obligation hereunder, shall deliver in writing to Thermage any and all data and information held by or in the control of Stellartech which is necessary or useful to obtain regulatory approval of the Products in the United States or any foreign country.

  • Development 3.1.1 Licensee agrees to and warrants that:

  • Project Completion Within five (5) days after the delivery by Supplier to Purchaser of a Commissioning Certificate for the Project’s final Turbine, Supplier shall also deliver to Purchaser a completion certificate for all Turbines in the Project (the “Project Completion Certificate”), in the form attached hereto as Exhibit N, together with a list of any remaining Punch List Work on any Turbine, a schedule for completing the Punch List Work and an estimate of the cost of each item of Punch List Work. Supplier shall thereafter promptly complete all Punch List Work.
