LAW/FORUM. The rights and obligations of the parties and the terms identified herein and elsewhere in any existing purchase order shall be governed by and construed in accordance with the domestic laws of the State of Michigan, including the Uniform Commercial Code as enacted in Michigan but without regard to the State of Michigan’s conflict of laws rules or the United Nations Convention on Contracts for the International Sale of Goods. Any legal or equitable actions arising out of or relating to any terms identified herein or elsewhere in any purchase order shall be brought only in federal or state court in Michigan. Seller and Xxxxx agree that such court shall have in personal jurisdiction over the parties.
LAW/FORUM. (a) This Agreement shall be construed in accordance with, and shall be governed by, the laws of the State of New Jersey.
LAW/FORUM. This Agreement will be governed by and construed in accordance with the laws of the State of Maryland, without regarding to its choice of law provisions. The parties further agree and consent to the exclusive jurisdiction of the courts of Maryland; thus, in the event that either party initiates an action pursuant to or otherwise governed by this Agreement, the exclusive jurisdiction of such action shall be in Maryland. Notwithstanding the foregoing, either party may enforce any judgment rendered by such court in any court of competent jurisdiction. STI may take any necessary action to compel specific performance of this Agreement or to enjoin any violation of this Agreement so that Proprietary Material is not used in any manner to harm or adversely affect STI.
LAW/FORUM. This Agreement shall be subject to the laws of England and the exclusive jurisdiction of the English courts, unless the Client is based in Scotland in which case this Agreement shall be subject to the laws of Scotland and the exclusive jurisdiction of the Scottish courts if so confirmed in writing by SR.
LAW/FORUM a. All Contracts under these Terms shall be governed by and construed in accordance with the laws of Singapore, with the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG) of April 11 1980.
LAW/FORUM. Any dispute in the meaning, effect, or validity of this Agreement shall be resolved exclusively in accordance with the laws of the State of Nevada without regard to the conflict of laws provisions thereof. This Agreement shall be governed by and construed exclusively in accordance with the laws of the State of Nevada. Venue of any litigation arising from this Agreement shall be in a federal or state court of competent jurisdiction in Xxxxx County, Nevada.
LAW/FORUM. 23.1 This Agreement shall be governed by and interpreted in accordance with the substantive laws of New York (U.S.A.), without regard to the choice or conflict of law rules. The parties hereby agree to exclude application of the United Nations Convention on Contracts for the International Sale of Goods.
LAW/FORUM. The laws of the State of Oregon govern all matters arising out of or relating to this Agreement, including, without limitation, its validity, interpretation, construction, performance, and enforcement. Any party bringing a legal action or proceeding against any other party arising out of or relating to this Agreement shall bring the legal action or proceeding in the Circuit Court of the State of Oregon for Xxxxxx County (unless Oregon law requires that it be brought and conducted in another county). Each party hereby consents to the exclusive jurisdiction of such court, waives any objection to venue, and waives any claim that such forum is an inconvenient forum.
LAW/FORUM. This Agreement shall be governed by and the rights, duties, and obligations of the Parties shall be determined and enforced in accordance with the laws of the State of California. The Parties further agree that any action or proceeding brought to enforce the terms and conditions of this Agreement shall be maintained in the California county in which the District’s administrative offices are located.
LAW/FORUM. 26.11 Notwithstanding the place where this Agreement may be executed or performed, this Agreement shall be deemed to be made under the laws of the State of Ohio, and the construction, validity and performance of this Agreement shall be governed in all respects by the laws of the State of Ohio, including without limitation its Uniform Commercial Code, and the laws of the United States of America, without regard to any principles of conflict of laws and specifically excluding the terms of the United Nations Convention on the International Sale of Goods. Any controversy or claim arising out of or relating to this Agreement, as well as any other dispute between the parties, shall be exclusively brought in a state court sitting in Delaware County, Ohio, USA or a federal court sitting in Franklin County, Ohio, USA. Each party agrees that a final judgment in any such action, litigation or proceeding is conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law. Notwithstanding the foregoing or anything to the contrary contained herein, Seller acknowledges that a breach by Seller of this Agreement may cause Buyer irreparable damages, for which an award of damages would not be adequate compensation and agrees that, in the event of such breach or threatened breach, Buyer will be entitled to seek equitable relief, including a restraining order, injunctive relief, specific performance and any other relief that may be available from any court in the United States, Canada, or any other jurisdiction, in addition to any other remedy to which Buyer may be entitled at law or in equity. Such remedies shall not be deemed to be exclusive but shall be in addition to all other remedies available at law or in equity, subject to any express exclusions or limitations in this Agreement to the contrary.
