Legal and Accounting Fees and Expenses. All charges for services and expenses of the Corporation’s legal counsel and independent auditors for the benefit of the Fund;

Legal and Accounting Fees and Expenses. The Company also shall pay to the Executive all legal and accounting fees and expenses incurred by the Executive as a result of a termination which entitles the Executive to the severance benefits hereunder (including all such fees and expenses, if any, incurred in disputing any such termination or in seeking in good faith to obtain or enforce any benefit or right provided by this Agreement or in connection with any tax audit or proceeding to the extent attributable to the application of Section 4999 of the Code to any payment of benefit provided by the Company). Such payments shall be made within five business days after delivery of the Executive's written requests for payment accompanied with such evidence of fees and expenses incurred as the Company reasonably may require.
Legal and Accounting Fees and Expenses. The Company shall pay all legal and accounting fees and expenses incurred by Employee in disputing in good faith any issue hereunder relating to the termination of Employee's employment, in seeking in good faith to obtain or enforce any benefit or right provided by this Agreement on in connection with any actual or threatened tax audit or proceeding to the extent attributable to the application of section 4999 of the Code to any payment or benefit provided hereunder or otherwise in connection with a Change in Control or termination of employment. Such payments shall be made within five days after delivery of Employee's written requests for payment accompanied with such evidence of fees and expenses as the Company may reasonably require.
Legal and Accounting Fees and Expenses. It is the intent of the Company that the Executive not be required to incur legal and accounting fees and the related expenses associated with the interpretation, enforcement or defense of the Executive's rights under this Agreement by litigation or otherwise because the cost and expense thereof would substantially detract from the benefits intended to be extended to the Executive hereunder. Consequently, if it should appear to the Executive that the Company has failed to comply with any of its obligations under this Agreement or in the event that the Company or any other person takes or threatens to take any action to declare this Agreement void or unenforceable, or institutes any litigation or other action or proceeding designed to deny, or to recover from the Executive the benefits provided or intended to be provided to the Executive hereunder, the Company irrevocably authorizes the Executive from time to time to retain counsel and accountants of the Executive's choice, at the reasonable expense of the Company as hereafter provided, to advise and represent the Executive in connection with any such interpretation, enforcement or defense, including without limitation the initiation or defense of any litigation or other legal action, whether by or against the Company or any Director, officer, stockholder or other person affiliated with the Company, in any jurisdiction. Notwithstanding any existing or prior attorney-client relationship between the Company or RailTex and such counsel, the Company irrevocably consents to the Executive's entering into an attorney-client relationship with such counsel, and in that connection the Company and the Executive agree that a confidential relationship shall exist between the Executive and such counsel. Without respect to whether the Executive prevails, in whole or in part, in connection with any of the foregoing, the Company will pay and be solely financially responsible for any and all reasonable attorneys', auditors and related fees and expenses incurred by the Executive in connection with any of the foregoing; provided that, in regard to such matters, the Executive has not acted in bad faith or with no colorable claim of success.
Legal and Accounting Fees and Expenses. All charges for services and expenses of the Fund's legal counsel, including counsel to the disinterested Directors of the Fund, and independent auditors for the benefit of the Fund;

The Sponsor and the Depositor shall pay or cause to be paid, on the Closing Date, legal and accounting fees, due diligence expenses and miscellaneous expenses in an amount not to exceed $75,000 incurred by the Insurer in connection with the issuance of the Policy. Any additional fees of the Insurer's auditors payable in respect of any amendment or supplement to the Offering Document incurred after the Closing Date shall be paid by the Sponsor and the Depositor on demand.

Any fees or expenses for legal and/or accounting services, both internal and external, rendered to the Custodian in connection with a Depositor’s Custodial Account shall be charged to and paid by the Depositor or charged to and deducted from the Depositor’s Custodial Account.
