Lenders’ Technical Advisor Certificate. On a monthly basis, concurrently with the delivery of the applicable Construction Progress Report, a certificate of the Lenders’ Technical Advisor (the “LTA Construction Progress Certificate”): (A) confirming that it has reviewed the applicable Construction Progress Report; (B) confirming each of the matters set forth in such Construction Progress Report, including the then projected Milestone Completion Date for Milestone 5 and the then projected Substantial Completion Date; (C) confirming that the Borrower is diligently proceeding with the construction of the Project and is projected to achieve Milestone Completion for Milestone 5 prior to the TIFIA Lender Longstop Date and Substantial Completion prior to the TIFIA Lender Substantial Completion Deadline Date; (D) confirming that the aggregate amount remaining to be paid to the Construction Contractor in order to complete construction of the Project does not exceed the amount estimated to be paid under the then- applicable Financial Plan; (E) in the case (i) the Milestone Completion Date for Milestone 5 has not been achieved on or prior to the Milestone Completion Target Date for Milestone 5 or (ii) the Substantial Completion Date has not been achieved on or prior to the Baseline Substantial Completion Date, that the Borrower has sufficient funds (in the form of cash, Permitted Investments, letters of credit from an Eligible Financial Institution or other liquid security) to pay all Total Project Costs necessary to achieve Milestone Completion for Milestone 5 and Substantial Completion and all other costs, including all debt service and other amounts in respect of its Indebtedness as originally scheduled under all of the Financing Documents (including all Senior Debt Service and TIFIA Debt Service), irrespective of the delay in achieving Milestone Completion for Milestone 5 or Substantial Completion; and (F) addressing such other matters related to the Project as the TIFIA Lender may reasonably request. In the event that there are items in the applicable Construction Progress Report that cannot be confirmed by the Lenders’ Technical Advisor, the certificate shall explain in reasonable detail the nature of such disagreement and any alternate conclusion of the Lenders’ Technical Advisor with respect to such matter.”
