LESSOR'S EXPENSES. In the event Lessee shall assign or sublet the Premises or request the consent of Lessor to any assignment or subletting or if Lessee shall request the consent of Lessor for any act Lessee proposes to do then Lessee shall pay Lessor's reasonable costs and expenses incurred in connection therewith, including attorneys', architects', engineers' or other consultants' fees.

LESSOR'S EXPENSES. In addition to the other provisions of this Lease, including, without limitation, Section 16.2 hereof, Lessee agrees and shall pay and/or reimburse Lessor and its Affiliates’ reasonable documented, out-of-pocket costs and expenses, including, without limitation, the costs and expenses of reports and investigations and reasonable legal fees and expenses attributable to an Event of Default and Lessor’s pursuing the rights and remedies provided herein and under applicable law, incurred or resulting from or relating to (a) requests by Lessee for approval or consent under this Lease or any other Obligation Document (including any consents relating to any intercreditor issues which arise in connection with any Material Obligations), (b) any circumstances or developments which give rise to Lessor or its Affiliates’ right of consent or approval under this Lease or any other Obligation Document, (c) circumstances resulting from any action or inaction by Lessee contrary to the lease provisions, (d) a request for changes, including, but not limited to, (i) the permitted use of the Leased Property, (ii) alterations and improvements to the Leased Improvements, (iii) subletting or assignment, and (iv) any other changes in the terms, conditions or provisions of this Lease or any other Obligation Document, and (e) enforcement by Lessor or its Affiliates of any of the provisions of this Lease or any other Obligation Document. Such expenses and fees shall be paid by Lessee within thirty (30) days of the submission of a statement for the same or such amount(s) shall be subject to a late charge computed at the Overdue Rate from the expiration of said thirty (30) day period to the date of payment, plus a Late Payment Penalty with respect to such unpaid amount.

LESSOR'S EXPENSES. LESSOR agrees to furnish, or cause to be paid, real property insurance, exterior maintenance, water, waste disposal, exterior pest control services, and landscaping maintenance. LESSOR shall provide said Premises with necessary fire extinguishers of the type and number in accordance with California Code of Regulations, Title 8, General Industry Safety Orders, Article 157, or of latest publications. LESSOR shall provide and maintain said Premises with necessary smoke detectors and egress signs of the type and number in accordance with National Fire Protection Association Code 101 or of latest publication. It is understood and agreed that ▇▇▇▇▇▇ will purchase such fire extinguishers and smoke detectors as referenced herein above, and that LESSEE will be responsible for maintaining such fire extinguishers and smoke detectors thereafter during the term of this Lease.

LESSOR'S EXPENSES. In addition to other provisions herein, Lessee agrees and shall pay and/or reimburse Lessor's reasonable costs and expenses, including reasonable legal fees, incurred or resulting from and relating to (a) requests by Lessee for approval or consent under this Lease Agreement; or (b) any circumstances or developments which give rise to Lessor's right of consent or approval; or (c) circumstances resulting from any action or inaction by Lessee contrary to the lease provisions; or (d) a request for changes including, but not limited to, (i) the permitted use of the Leased Property, (ii) alterations and improvements to the Leased Improvements, (iii) subletting or assignment, or (iv) any other changes in the terms, conditions or provisions of this Lease. Such expenses and fees shall be paid by Lessee within thirty (30) days of the submission of a statement for the same or such amount(s) shall become Additional Charges and subject to the Overdue Rate after the 30 days.

LESSOR'S EXPENSES. During the continuance of an Event of Default, Lessor may, but shall not be obligated to, make any payments and do any other acts Lessor may deem reasonably necessary to protect its security interests in any Lease or any Equipment, including, without limitation, having the right to satisfy, purchase, contest or compromise any encumbrance, charge or Lien (other than a Permitted Lien) affecting any Equipment. Lessee shall reimburse Lessor for all payments made and all documented out-of-pocket expenses incurred under this Agreement including all documented out-of-pocket legal fees, expenses and disbursements of external attorneys and paralegals paid by or on behalf of ▇▇▇▇▇▇. Lessee shall also pay to Lessor on demand all documented out-of-pocket costs and expenses incurred by Lessor related to protecting or enforcing Lessor’s rights and interests in any Lease or any Equipment (including, without limitation, legal, collection and remarketing fees and expenses) following the occurrence of any default or Event of Default.

LESSOR'S EXPENSES. Lessee shall pay Lessor all costs and expenses including attorney’s fees, incurred by the Lessor in exercising any of its rights or remedies hereunder or enforcing any of the terms, conditions, or provisions hereof. This contract shall be governed by the applicable laws of the State of [California or New York], and the Lessee shall agree that any proceedings which it may institute shall be brought in the State of [California or New York].

LESSOR'S EXPENSES. Lessee will pay to the Lessors on demand all costs and expenses including reasonable attorney's fees incurred by the Lessors in enforcing any of the covenants herein contained, in remedying any breach by the Lessee thereof, in recovering possession of said premises, in collecting any delinquent rent, taxes or other charges hereunder payable by the Lessee, or in connection with any litigation commenced by or against the Lessee (other than condemnation proceedings) to which the Lessors without any fault on their part shall be made parties.

LESSOR'S EXPENSES. If Lessor pays any monies or incurs any expense to correct a breach of this Lease by Tenant or to do anything in this Lease required to be done by Tenant, or incurs any expense (including, but not limited to, attorneys’ fees and court costs) as a result of Tenants’ failure to perform any of Tenant’s obligations under this Lease, all amounts so paid or incurred shall, after five (5) days’ notice to Tenant, be considered Additional Rent payable by Tenant with the first Minimum Monthly Rent installment thereafter becoming due and payable, and may be collected as provided by law in the case of rent.

LESSOR'S EXPENSES. Lessee shall promptly ------------------------------ ----------------- execute and deliver, or cause to be executed and delivered to Lessor such further documents and take such further action as Lessor may from time to time request in order to more effectively carry out the intent and purpose of the Master Lease and each Schedule, protect the rights and remedies of Lessor created or intended to be created thereunder and perfect and protect Lessor's interest in the Equipment Lessee shall pay all reasonable costs (including reasonable legal fees and costs) and expenses incurred by Lessor in the consummation or interpretation of the Master Lease or any Schedule; in collecting or attempting to collect any sums owed under the Master Lease or any Schedule; or in enforcing any of Lessor's rights or remedies under the Master Lease or any Schedule. Lessee shall also pay all filing fees, Lien search fees, recordation fees and related expenses reasonably incurred by Lessor in connection with the Master Lease or any Schedule.
