License of Websites. Licensor hereby grants to Licensee, subject to the terms and conditions set forth in this Agreement, a non-exclusive and non-transferable right to use the Websites (which term “Website” shall be deemed to include the website and the related domain name for the purposes of this Section 1.3) in connection with the operation of the Hotels: (a) to have information regarding the Hotels displayed on the Websites in a manner substantially similar to that in which information regarding the hotels of other licensees of the Websites is displayed, and (b) to have the Hotels included in any online reservation system or other features, functions or services operated through the Websites in a manner substantially similar to that made available to other licensees of the Websites; provided, that following the Royalty Termination Date, Licensee shall reimburse Licensor for Licensee’s pro rata share of the cost of operating the Websites in connection with the foregoing, and the quality and service levels of the Websites shall be at least the same as the quality and service levels of the Websites prior to the Royalty Termination Date. For the avoidance of doubt, and subject to the foregoing, Licensee shall have no right to control or approve the design, appearance or any other aspect of the content or operation of the Websites and all such rights shall be retained by Licensor; provided, that Licensor shall use commercially reasonable efforts to accommodate any reasonable changes to the Websites requested by Licensee at Licensee’s expense.”
License of Websites. 3.1. (a) License by Alloy of Sub-Universal Resource Locators. Alloy shall maintain the domain names xxx.xxxxx.xxx and xxx.xxxxxx.xxx (collectively, the “Alloy Flagship Websites”) as public facing websites. Alloy hereby licenses to the Company the right to use on an exclusive, non-transferable, royalty-free basis (i) the universal resource locator xxxxx.xxxxx.xxx within the xxx.xxxxx.xxx domain name for the purpose of displaying Alloy merchandise brand products (the “Alloy Licensed URL”); and (ii) the universal resource locator xxxxx.xxxxxx.xxx contained within the xxx.xxxxxx.xxx domain name for the purpose of displaying the xXXxX*s merchandise brand products (the “xXXxX*s Licensed URL,” and together with the Alloy Licensed URL, the “Licensed URLs”), all on the terms and conditions herein set forth. The Company may, in its sole discretion, transition from any or all of the Licensed URLs to another domain name of its choice (each a “Replacement URL”), provided and on the condition that such transition in no way affects or relieves the Company of any of its obligations set forth in this Agreement. Any Replacement URL and the Licensed URLs shall be considered a “Company Flagship Website”. Alloy will not license any Alloy Licensed URL to a third party during the Term of this Agreement.

  • Use of websites (a) The Company may satisfy its obligation under this Agreement to deliver any information in relation to those Lenders (the “Website Lenders”) who accept this method of communication by posting this information onto an electronic website designated by the Company and the Agent (the “Designated Website”) if:

  • License; Use Upon delivery to an Authorized Person or a person reasonably believed by Custodian to be an Authorized Person of the Fund of software enabling the Fund to obtain access to the System (the “Software”), Custodian grants to the Fund a personal, nontransferable and nonexclusive license to use the Software solely for the purpose of transmitting Written Instructions, receiving reports, making inquiries or otherwise communicating with Custodian in connection with the Account(s). The Fund shall use the Software solely for its own internal and proper business purposes and not in the operation of a service bureau. Except as set forth herein, no license or right of any kind is granted to the Fund with respect to the Software. The Fund acknowledges that Custodian and its suppliers retain and have title and exclusive proprietary rights to the Software, including any trade secrets or other ideas, concepts, know-how, methodologies, or information incorporated therein and the exclusive rights to any copyrights, trademarks and patents (including registrations and applications for registration of either), or other statutory or legal protections available in respect thereof. The Fund further acknowledges that all or a part of the Software may be copyrighted or trademarked (or a registration or claim made therefor) by Custodian or its suppliers. The Fund shall not take any action with respect tot the Software inconsistent with the foregoing acknowledgement, nor shall the Fund attempt to decompile, reverse engineer or modify the Software. The Fund may not xxx, sell, lease or provide, directly or indirectly, any of the Software of any portion thereof to any other person or entity without Custodian’s prior written consent. The Fund may not remove any statutory copyright notice or other notice included in the Software or on any media containing the Software. The Fund shall reproduce any such notice on any reproduction of the Software and shall add any statutory copyright notice or other notice to the Software or media upon Custodian’s request.

  • Websites Distributor shall utilize the Company's proprietary Internet site, and may link to "TXXXXXXXXXXXXXXX.XXX" as a source for new customers and related matters.

  • Marking of Licensed Products To the extent commercially feasible and consistent with prevailing business practices, Company shall xxxx, and shall cause its Affiliates and Sublicensees to xxxx, all Licensed Products that are manufactured or sold under this Agreement with the number of each issued patent under the Patent Rights that applies to such Licensed Product.

  • Software License Subject to the terms of this Agreement, Viasat grants to you a personal, non-exclusive, non-assignable and non-transferable license to use and display the software provided by or on behalf of Viasat (including any updates) only for the purpose of accessing the Service ("Software") on any computer(s) on which you are the primary user or which you are authorized to use.   • Licensed Software Computer program(s) provided by Contractor in connection with the Deliverables, subject to Section 14 of this Contract.

  • Software Licenses Seller has all necessary licenses to use all material third-party software used in connection with the Purchased Assets, and to Sellers’ knowledge, Sellers’ use of third-party software does not infringe the rights of any Person or Entity.

  • Software License Agreement 1) Customers acquiring software licenses under the Contract shall hold, use and operate such software subject to compliance with the Software License Agreement set forth in Appendix D of this Contract.
