License Registration. Wherever applicable, for each SGI Patent Right in the Licensed Territory, SGI shall register MPI’s exclusive license to such SGI Patent Right before the applicable patent authority, [***]. In addition, SGI shall allow MPI to file appropriate information with the Regulatory Authorities in the Licensed Territory listing any SGI Patents or Joint Patents in the orange book equivalent, if any, as a patent relating to the Licensed Product.
License Registration. CONFIDENTIAL TREATMENT HAS BEEN REQUESTED WITH RESPECT TO THE OMITTED PORTIONS. licenses granted to TAIHO under this Agreement with appropriate governmental authorities in Japan and South Korea and TAIHO shall cooperate and assist Arcus (or such Arcus Partners as applicable), at TAIHO’s own expense, in the preparation of any documents reasonable necessary for such purposes, including, without limitation, drafting and agreeing upon a short form version of this Agreement as necessary for such registrations and recordings. Without limiting the foregoing, upon TAIHO’s request, Arcus shall (and shall require its Arcus Partners to) promptly register the exclusive licenses granted to TAIHO under this Agreement (a) with respect to Arcus Patents, as a “Senyo-Jisshiken” in accordance with Article 77 of the Japanese Patent Law, Article 18 of the Japanese Utility Model Act, Article 27 of the Japanese Design Act, and as a “Xxxx-Xxxxx-Jisshiken” in accordance with Article 34-2 of the Japanese Patent Law and (b) with respect to Arcus Trademarks, as “Senyo-Shiyoken” under Article 30 of the Japanese Trademark Act, in each case with the applicable registry maintained in the Japanese Patent Office.
License Registration. The Underwriter is licensed by and registered with the Financial Industry Regulatory Authority as a broker-dealer and the MSRB as a municipal securities dealer.

BioVeris shall provide reasonable assistance to Newco in effecting such registrations if Newco reimburses any out-of-pocket expenses incurred in providing such assistance.

IGEN shall pay all costs and legal fees connected with registration of this Agreement in those countries where it (or its Affiliates, Distributors and/or agents) sells Licensed Products, where required, and shall otherwise ensure that the laws of all the countries where sales of its Licensed Products occur are fully satisfied. None of such amounts shall be deductible against amounts payable to ROCHE hereunder. ROCHE shall provide reasonable assistance to IGEN in effecting such registrations if IGEN reimburses any out-of-pocket expenses incurred in providing such assistance.
License Registration. You, and not the xXxxx.xx distributor or reseller, are required to register the Software. The following data must be provided by You: name of Your company/business, address, name of your point of contact ("POC"), POC email, and POC phone number.

If required or permitted by applicable Laws, Simcere may register the license granted by Xxxxx to Simcere hereunder with Government Authorities in the Territory, including the China National Intellectual Property Administration, by submitting this Agreement (or a simplified and/or Chinese language version of this Agreement) and other required documents to the applicable Government Authorities. Upon Simcere’s reasonable request, Xxxxx shall execute such documents and take such further action reasonably required by Simcere in connection with such registration.
License Registration. The Licensee shall sign such documents and give such assistance as the Licensor may reasonably request from time to time to ensure that this Agreement is registered in the relevant registry and to have any such recordal removed on termination of this Agreement.
