LICENSE TO ACCESS FILES. As used in this Agreement, files are those files that you or others upload, download and access through the Trend Micro Products/Services. You are the owner of your files and are solely responsible for your conduct and content of your files, as well as any of the content contained in communications with other users of the Trend Micro Products/Services. Trend Micro Products/Services allow you to share some of your files. If you choose to, you can share all or some of your files with the general public or with specific individuals you select. If you decide to share your files, you are giving certain legal rights to those individuals whom you have given access to your folders. After setting up your account and downloading the Trend Micro Products/Services software, you can select the Files you want to sync. You can change the Files you want to sync whenever you want. In order to make the Trend Micro Products/Services available to you, you agree to grant Trend Micro a limited, non- exclusive, perpetual, fully-paid and royalty-free, sub-licensable and worldwide license: (i) to use, copy, transmit, distribute, store and cache files that you choose to sync; and (ii) to copy, transmit, publish, and distribute to others the files as you designate. You further represent and warrant that you own the shared files or folders or otherwise have the right to grant the license set forth in the prior sentence. Trend Micro does not claim any ownership rights in your files. You acknowledge that Trend Micro does not have any obligation to monitor the files or user posts that are uploaded, posted, submitted, linked to or otherwise transmitted using the Trend Micro website or services, for any purpose and, as a result, is not responsible for the accuracy, completeness, appropriateness, legality or applicability of the files or anything said, depicted or written by users in their user posts, including without limitation, any information obtained by using the site or services. Trend Micro does not endorse anything contained in the files or user posts or any opinion, recommendation or advice expressed therein and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Trend Micro with respect thereto.

SafeSync allow You to share some of Your files. If You choose to, You can share all or some of Your files with the general public or with specific individuals You select. If You decide to share Your files, You are giving certain legal rights to those individuals whom You have given access to Your folders. After setting up Your account and downloading the SafeSync software, You can select the Files You want to sync. You can change the Files You want to sync whenever You want. In order to make SafeSync available to You, You agree to grant Trend Micro a limited, non-exclusive, perpetual, fully-paid and royalty-free, sub-licensable and worldwide license: (i) to use, copy, transmit, distribute, store and cache files that You choose to sync; and

  • Zone File Access Agreement Registry Operator will enter into an agreement with any Internet user, which will allow such user to access an Internet host server or servers designated by Registry Operator and download zone file data. The agreement will be standardized, facilitated and administered by a Centralized Zone Data Access Provider, which may be ICANN or an ICANN designee (the “CZDA Provider”). Registry Operator (optionally through the CZDA Provider) will provide access to zone file data per Section 2.1.3 of this Specification and do so using the file format described in Section 2.1.4 of this Specification. Notwithstanding the foregoing, (a) the CZDA Provider may reject the request for access of any user that does not satisfy the credentialing requirements in Section 2.1.2 below; (b) Registry Operator may reject the request for access of any user that does not provide correct or legitimate credentials under Section 2.1.2 below or where Registry Operator reasonably believes will violate the terms of Section 2.1.5. below; and, (c) Registry Operator may revoke access of any user if Registry Operator has evidence to support that the user has violated the terms of Section 2.1.5 below.

  • Access to Software Access Rights to Software which is Results shall comprise: Access to the Object Code; and, where normal use of such an Object Code requires an Application Programming Interface (hereafter API), Access to the Object Code and such an API; and, if a Party can show that the execution of its tasks under the Project or the Exploitation of its own Results is technically or legally impossible without Access to the Source Code, Access to the Source Code to the extent necessary. Background shall only be provided in Object Code unless otherwise agreed between the Parties concerned.

  • Access to Records – Files; Confidential Information Contractor shall maintain all books, documents, papers and records relating to the Agreement for at least seven years following completion of the project. Contractor shall maintain any other records pertinent to this Agreement in such a manner as to clearly document Contractor’s performance. City, state and federal government, and their duly authorized representatives shall have access to the books, documents, papers and records of the Contractor which are directly pertinent to the specific Agreement for the purpose of making audit, examination, excerpts and transcript. Contractor agrees that all files or other documents generated or in the possession of Contractor related to Contractor's delivery of service are the property of the City and shall be available to the City upon request. Contractor understands the nature of project/projects means that Contractor may be privy to information that is confidential, proprietary or sensitive in nature, which information shall not be disclosed to any third person or entity without the consent of the City of Bend or at the City's direction, either during the term of this Agreement or after its termination. Likewise, any analysis or commentary provided by Contractor of a confidential or sensitive nature shall not be released or disclosed to any person without the consent or direction of the City.

  • Customer Materials 12.1 The Supplier including any of its employees, agents, consultants, contractors and any third party shall:

  • COMPUTER GRAPHICS FILES The Engineer agrees to comply with Attachment G, Computer Graphics Files for Document and Information Exchange, if determined by the State to be applicable to this contract.

  • License to Customer Vendor grants to Customer, a perpetual, irrevocable, royalty free license, solely for the Customer’s internal business purposes, to use, copy, modify, display, perform (by any means), transmit and prepare derivative works of any Vendor IP embodied in or delivered to Customer in conjunction with the Work Product. The foregoing license includes the right to sublicense third parties, solely for the purpose of engaging such third parties to assist or carryout Customer’s internal business use of the Work Product. Except for the preceding license, all rights in Vendor IP remain in Vendor.

  • LICENSE TO USE WEBSITE The Company may provide You with certain information as a result of Your use of the Website or Services. Such information may include, but is not limited to, documentation, data, or information developed by the Company, and other materials which may assist in Your use of the Website or Services ("Company Materials"). Subject to this Agreement, the Company grants You a non-exclusive, limited, non-transferable and revocable license to use the Company Materials solely in connection with Your use of the Website and Services. The Company Materials may not be used for any other purpose, and this license terminates upon Your cessation of use of the Website or Services or at the termination of this Agreement.

  • Access to Customer Data You agree that we may, for the purposes of providing Maintenance and Customer Support and/or for the purpose of otherwise protecting the integrity of the Software, access and/or download your Customer Data on a limited basis.

  • Access to Files 12.01 A copy of any completed evaluation which is to be placed in a nurse's file shall be first reviewed with the nurse. The nurse shall initial such evaluation as having been read and shall have the opportunity to add views to such evaluation prior to it being placed in a file. Each nurse shall have reasonable access to the file for the purposes of reviewing any evaluations or formal disciplinary notations contained therein in the presence of the supervisor. A copy of the evaluation will be provided to the nurse at the nurse's request.

  • Internet Access to Contract and Pricing Information Access by Authorized Users to Contract terms and pricing information shall be made available and publically posted on the OGS website. To that end, OGS shall publically post the Contract Pricelist, including all subsequent changes in the Contract offerings (adds, deletes, price revisions), Contractor contact information, and the Contract terms and conditions, throughout the Contract term.
