Licensee Authority. Notwithstanding any other provision of this Agreement, Programmer recognizes that Licensee has certain obligations to broadcast programming to meet the needs and interests of the community of license for the Stations. On a regular weekly basis the Licensee shall air specific programming on issues of importance to the local community. Nothing in this Agreement shall abrogate the unrestricted authority of the Licensee to discharge its obligations to the public and to comply with the law, rules and policies of the FCC with respect to meeting the ascertained needs and interests of the public.
Licensee Authority. Subject to Programmer’s obligations hereunder, Licensee shall be responsible for the Station’s compliance with all FCC Requirements and all other applicable laws. Programmer shall cooperate with Licensee, at Programmer’s expense, in taking such actions as Licensee may reasonably request to assist Licensee in maintaining the Station’s compliance with the FCC Requirements and all other applicable laws. Notwithstanding any other provision of this Agreement, Programmer recognizes that Licensee has certain obligations to operate the Station in the public interest, and to broadcast programming to meet the needs and interests of the Station’s community of license and service area. From time to time Licensee shall air, or if Licensee requests, Programmer shall air, programming on issues of importance to the local community. Nothing in this Agreement shall abrogate or limit the unrestricted authority of Licensee to discharge Licensee’s obligations to the public and to comply with the FCC Requirements, and Licensee shall have no liability or obligation to Programmer, for taking any action that Licensee reasonably and in good faith believes to be necessary or appropriate to discharge such obligations or comply with such laws, rules, regulations or policies.
Licensee Authority. Notwithstanding any other provision of this Agreement, Licensee shall retain ultimate responsibility to broadcast programming to meet the needs and interests of viewers in the Station's service area. Licensee therefore retains the right to broadcast specific programming on issues of importance to the service area. Licensee shall also retain the right to interrupt Programmer's programming in case of an emergency or for programming which, in the good faith judgment of Licensee, is of greater local, regional or national public importance. Licensee shall also coordinate with Programmer the Station's hourly Station identification and any other announcements required to be aired by FCC rules. Licensee shall continue to maintain a main studio, as that term is defined by the FCC, within the Station's principal community contour, shall maintain its local public inspection file in accordance with FCC rules, regulations and policies, and shall prepare and place in such inspection file or files in a timely manner all material required by Section 73.3526 of the FCC's rules, including without limitation the Station's quarterly issues and program lists and Children's Television Programming Reports. Programmer shall, upon request by Licensee, provide Licensee with such information concerning Programmer's programs and advertising as is necessary to assist Licensee in the preparation of such material. Licensee shall also maintain the Station's logs, receive and respond to telephone inquiries, and control and oversee any remote control point which may be established for the Station.

Licensee Authority. Licensee warrants and covenants that: (a) Licensee has the power and the right to enter into this License and that Licensee shall peaceably and quietly enjoy the use of the Premises upon the terms, covenants, and conditions set forth in this License throughout the term of the License; and (b) no other person, other than the individual(s) executing this License, have a fee ownership interest in the Licensee Property.

From time to time the Licensee shall air specific programming on issues of importance to the local community and educational and informational programming for children. Nothing in this Agreement shall abrogate the unrestricted authority of the Licensee to discharge its obligations to the public and to comply with the Act and the rules and policies of the FCC.
Licensee Authority. The Licensee represents and warrants that it has obtained each approval, authorization and consent necessary to enter into this Agreement and perform its obligations, comply with the terms and conditions, and engage in the actions contemplated by this Agreement. The Licensee warrants that to the best of its knowledge no conflict of interest exists or is likely to arise in the performance of its obligations under the Agreement. The Licensee agrees that for the term of this agreement and for all succeeding terms, the Licensee shall not enter into any contractual obligations with any WellWink competitors and shall refrain from direct communication with WellWink’s competitors regarding WellWink Products and Services, including but not limited to its features, performance benchmarks and any other information not publicly available. Individuals’ Rights: You shall be solely responsible for affording individuals their rights with respect to Your Health Information, such as the rights of access and amendment. You will not undertake to afford an individual any rights with respect to any information in the Programs and Services other than Your Health Information.

Nothing in this Agreement shall abrogate the unrestricted authority of the Licensee to discharge its obligations to the public and to comply with the Act and the rules and policies of the FCC.

Notwithstanding any other provision of this Agreement, Programmer recognizes that Licensee has certain obligations to broadcast programming to meet the needs and interests of viewers in Lake Worth, Florida, the station's 7 service area and the educational and informational needs of children. From time to time the Licensee shall air specific programming on issues of importance to the local community and educational and informational programming for children. Nothing in this Agreement shall abrogate the unrestricted authority of the Licensee to discharge its obligations to the public and to comply with the Act and the rules and policies of the FCC.

Nothing in this Agreement shall abrogate the unrestricted authority of the Licensee to discharge its obligations to the public and to comply with the Act and the rules and policies of the FCC.
