Licensee Cooperation. Licensee agrees to reasonably cooperate with Licensor in achieving registration of the Licensed Marks worldwide, and in maintaining and protecting existing registrations therefor at Licensor’s sole expense. Licensee shall execute any and all documents which Licensor may reasonably request in support of such registrations, and, at Licensor’s request, Licensee shall provide use evidence, testimony, and documentation that may be required in any ex parte or inter partes administrative proceedings and prosecutions, maintenance and renewals involving registrations of the Licensed Marks, at Licensee’s sole expense.
Licensee Cooperation. Upon termination of the Name Licensing Agreement, Licensee agrees to cooperate fully with Licensor to amend or cancel any governmental recordations or approvals pertaining to any tradenames, trademarks or servicemarks which consist of or include any of Licensed Marks.
Licensee Cooperation. In order to enable Transoft to provide the Services and the Additional Services, the Licensee will use reasonable efforts to provide all information, answer questions, and do all such things as are required to enable Transoft to replicate a problem.
Licensee Cooperation. For increased visibility of both Pitney Xxxxx and Licensee, Licensee agrees that: (a) Pitney Xxxxx may refer to Licensee as a Pitney Xxxxx customer and to Licensee's use of the Pitney Xxxxx Software in a press release, public statement or sales and marketing material; (b) at Pitney Bowes's request, Licensee will speak at one (1) industry seminar or trade show per year, subject to Licensee's reasonable availability therefor and with Licensee's reasonable out-of-pocket travel expenses paid for by Pitney Xxxxx; (c) Pitney Xxxxx may publish a case study(s) about Licensee's use of the Pitney Xxxxx Software, and use all or portions of such study(s) for marketing, promotional and other reasonable purposes. Licensee shall have the opportunity to review and comment on such study(s) prior to initial use by Pitney Xxxxx and agrees to provide any comments it may have reasonably promptly after receipt of a draft study (and in any event within thirty (30) days after such receipt); and
Licensee Cooperation. Licensee agrees to reasonably cooperate with Licensor’s preparation and filing of any applications, renewals or other documentation necessary or useful to protect Licensor’s intellectual property rights in the Licensed Trademarks in the Territory.
Licensee Cooperation. Licensee acknowledges that Xxxxxx XX may not be able to resolve an Error if Licensee does not use all commercially reasonable efforts to cooperate with and assist Xxxxxx XX in resolving the Error (including, without limitation, in replicating the Error, in retrieving workstation, server and log file data relating to the Error, and in providing Xxxxxx XX with remote access to Licensee's installation for support purposes).

Licensee Cooperation. Licensee acknowledges that Distributor may not -------------------- be able to resolve an Error if Licensee does not use its best efforts to cooperate with and assist Distributor in resolving the Error.
Licensee Cooperation. Licensee shall not by any act or omission to act impair or prejudice the Intellectual Property Rights of Fox in the PSM, the Fox Intellectual Property or the Properties, or violate any moral rights or deal with the PSM, the Fox Intellectual Property or Properties so that any third party might obtain any lien or other right of whatever nature incompatible with the Intellectual Property Rights of Fox. Licensee agrees to notify Fox of any known or suspected infringement of Fox’s Intellectual Property Rights in the PSM and the Property that comes to Licensee’s attention and to assist Fox, at Fox’s expense, in taking such action as Fox, in its sole discretion, deems necessary or appropriate to prevent or remedy such infringing activities. Licensee shall Wireless Content License Agreement Multiple Properties / Sorrent, Inc. / Final PLZ also promptly notify Fox in writing of any legal proceeding instituted, or written claim or demand asserted, by any third party against Licensee with respect to the infringement of any Intellectual Property Rights that is alleged to result from the use of the PSM or the Properties in connection with the Wireless Products in accordance with this Agreement.
Licensee Cooperation. Licensee must promptly notify Licensor following the discovery of any Error. Further, upon discovery of an Error, Licensee agrees, if requested by Licensor, to submit to Licensor a listing of output and any other data that Licensor may require to reproduce the Error and the operating conditions under which the Error occurred or was discovered. In addition, Licensee is responsible for procuring, installing, and maintaining all equipment, telephone lines, communications interfaces, and other hardware necessary to operate the Software Platform and to obtain maintenance and support services from Licensor. Licensor will not be responsible for delays caused by events or circumstances beyond Licensor’s reasonable control.
