Limitations of Grant. Licensee acknowledges that the license granted hereunder is a quitclaim grant, made without covenants, representations or warranties with respect to Railroad's (a) right to make the grant, (b) title in the Premises, or (c) right to use or make available to others the Premises for the purposes contemplated herein. Railroad is the owner and/or holder of the Premises subject to the terms and limitations under which it is owned or held, including without limitation conditions, covenants, restrictions, easements (including any pre-existing fiber optic easements or licenses), encroachments, leases, licenses, permits, mortgages, indentures, reversionary interests, fee interests, zoning restrictions and other burdens and limitations, of record and not of record, and to rights of tenants and licensees in possession, and Licensee agrees that the rights licensed hereunder are subject and subordinate to each and all of the foregoing. Licensee accepts this grant knowing that others may claim that Railroad has no right to make it, and Licensee agrees to release, hold harmless and indemnify (and, at Railroad's election, defend, at Licensee's sole expense, with counsel approved by Railroad) Railroad, its affiliated companies, and its and their respective officers, directors, agents and employees, from and against any detriments to, or liabilities of, any type or nature arising from such claims, including punitive damages and any forfeitures declared or occurring as a result of this grant.
Limitations of Grant. A. This license is limited to the United States, its territories and possessions.

Subject to the terms and conditions hereof, Edge grants the Customer a nonexclusive, nontransferable, limited license (the “License”) to use the Software solely in conjunction with the operation of Edge- branded products and hardware under an Edge managed services contract. Any such updates and/or upgrades provided by Edge shall be governed by the terms and conditions of the License. (a) The Licensee recognizes that there is great value to the Licensor and the original owner or inventors in the applications of Taiwan Fast Plant Propagation Technology and the goodwill associated therewith; that nothing contained in this Agreement gives the Licensee any interest or property rights therein except as specifically set forth in this Agreement; and that all goodwill arising as a result of the use thereof by the Licensee shall inure solely to the benefit of the Licensor or the original inventors. The Licensee shall not, during the Term of this Agreement or thereafter, directly or indirectly, assert any interest or property rights in Taiwan Fast Plant Propagation Technology.
Limitations of Grant. Licensee may from time to time, without the consent of Licensor, grant one or more sublicenses of all or a part of the Licensed Rights to one or more Affiliates of Licensee or any of the Partners of eVasc or any other Person. Licensee may grant any other sublicense only with the consent of the Licensor, and the Licensor covenants not to unreasonably withhold or delay such consent. Any sublicensee of the Licensed Rights shall take the Licensed Rights subject to the requirements of Section 1.a. above, including without limitation the supply and manufacturing service requirements described therein.

Notwithstanding anything contained within this Agreement, nothing contained within this Agreement shall be deemed or interpreted in any manner whatsoever as a restriction or prohibition over the continued operation of those parties who provide the Services within the Franchise Area as of the date of this Agreement, nor as a grant of exclusivity over or to the detriment of the continued operations by such parties either in the current quantity and location or otherwise.

In consideration for Edge’s receipt of the License Fee in full, Edge hereby grants to Customer, and Customer accepts from Edge, subject to the terms and conditions of this License, a nonexclusive, nontransferable, and limited license to use the Edge Software solely in conjunction with the Device in which it is embedded or otherwise provided for the purposes stated in Edge’s written documentation of the Edge Software (“Edge License”). Any Device sold or rented by Edge to Customer (“Edge Device”) may only be used on the proprietary telecommunications network specified by Edge (“Edge Network”), will not work on any other telecommunications network, and must be managed by Edge under an active in-force Edge services contract. Customer further agrees that the Edge Device shall not be managed and supported by Customer or third party. In its sole judgment and discretion, Edge may provide the Customer with updates to or upgrades of the Edge Software. Any such updates or upgrades to the Edge Software provided by Edge shall be governed by the terms and conditions of this Edge License. Edge is and remains the owner of all titles, rights, and interests in and to the Edge Software.
