Limitations on Use and Transfer. Agila shall not use the Pfenex Materials and Deliverables for any purpose other than for the performance of its obligations under this Agreement. Except as otherwise authorized by Pfenex in writing, Agila shall not provide the Pfenex Materials and Deliverables to any Person other than to approved subcontractors in furtherance of Section 3.4 or those employees of Agila who require access to the Pfenex Materials and Deliverables, in each case for the performance of the activities allocated to Agila under any Development Plan. Agila shall only use the Pfenex Materials and Deliverables in compliance with all Applicable Laws.
Limitations on Use and Transfer. Unless VIACELL has given prior written consent, which shall not be unreasonably withheld, Institution and Investigator shall not (a) use any ViaCell Proprietary Materials for any purposes other than performing the Evaluation Plan during the Term, (b) use any ViaCell Proprietary Materials in commercial research, which shall include but not be limited to research sponsored by a third party commercial entity, (c) transfer or provide access to the ViaCell Proprietary Materials to any third party, and/or (d) copy, reverse engineer or attempt to derive the sequence or composition or underlying information, structure or ideas of the ViaCell Proprietary Materials.
Limitations on Use and Transfer. 1. Data acquired by the Issuing Party pursuant to Legal Process shall be treated in accordance with the Issuing Party’s domestic law, including its privacy and free- dom of information laws.
Limitations on Use and Transfer. Stelis BioPharma shall not use the Pieris Materials and Deliverables for any purpose other than for the performance of its obligations under this Agreement. Except as otherwise authorized by Pieris in writing, Stelis BioPharma shall not provide the Pieris Materials and Deliverables to any Person other than to approved subcontractors pursuant to Article 0 or those employees of Stelis BioPharma who require access to the Pieris Materials and Deliverables, in each case for the performance of the activities allocated to Stelis BioPharma under any Development Plan. Stelis BioPharma shall only use the Pieris Materials and Deliverables in compliance with all Applicable Laws.

Antithesis wi not: (a) use the Customer Materias for any purpose other than to perform the Proof of Concept in connection with the Permitted Use; (b) transfer or provide access to the Customer Materias to any third party, except as authorized herein or otherwise by Customer in writing; (c) except in connection with the Proof of Concept and/or the Permitted Use, reverse engineer or attempt to derive the components, composition, or structure of the Customer Materias; or (d) except in connection with the Proof of Concept and/or the Permitted Use, copy, reproduce, modify, further deveop, or create derivatives of, the Customer Materias.
