Limitations Upon Authority of Operating Committee. Any decision to implement new arrangements or protocols under this Agreement that any Party determines, in its sole discretion, would materially enhance its costs of performance must be by unanimous consent of the Parties’ OC representatives.

Limitations Upon Authority of Operating Committee. Actions taken by the OC pursuant to this Agreement shall only be taken after a meeting in which there is mutual agreement of the OC representatives regarding an action to be taken. Neither Party shall be obligated to make any changes to its systems or operations or to purchase, install or otherwise implement new equipment, software or devices except as specifically required herein.

With respect to any other matter, unanimous agreement among the three Parties’ OC representatives shall not be required; however, the representatives of MIDWEST ISO and PJM shall not have the authority to impose any decision on TVA with respect to any matter without TVA’s consent.

  • Limitations on Authority of Arbitrator The arbitrator shall have no right to amend, modify, nullify, ignore, add to, or subtract from the provisions of this Agreement. The arbitrator shall consider and decide only the question of fact as to whether there has been a violation, misinterpretation or misapplication of the specific provisions of this Agreement. The arbitrator shall be empowered to determine the issue raised by the grievance as submitted in writing at the Second Step. The arbitrator shall have no authority to make a decision on any issue not so submitted or raised. The arbitrator shall be without power to make any decision or award which is contrary to or inconsistent with, in any way, applicable laws, or of rules and regulations of administrative bodies that have the force and effect of law. The arbitrator shall not in any way limit or interfere with the powers, duties and responsibilities of the Village under law and applicable court decisions. Any decision or award of the arbitrator rendered within the limitations of this Section 5.4 shall be final and binding upon the Village, the Chapter and the employees covered by this Agreement.

  • Limitation on Authority A. Grantee shall not have any authority to act for or on behalf of the System Agency or the State of Texas except as expressly provided for in the Grant Agreement; no other authority, power, or use is granted or implied. Grantee may not incur any debt, obligation, expense, or liability of any kind on behalf of System Agency or the State of Texas.
