LIMITED NONCOMPETE AGREEMENT. Employee expressly agrees that Employee will not (either directly or indirectly, by assisting or acting in concert with others) Compete with the Company during the Restricted Period within the Restricted Territory.
LIMITED NONCOMPETE AGREEMENT. Employee expressly agrees that Employee will not (either directly or indirectly, by assisting or acting in concert with others) Compete with the Company during the Restricted Period within the Restricted Territory. Notwithstanding the foregoing, nothing herein shall prohibit Employee or any of Employee’s affiliates from being a passive owner of not more than one percent (1%) of the outstanding stock of any class of securities of a publicly-traded corporation that is a Competing Business, so long as Employee or such affiliate has no active participation in the business of such corporation.
