For each calendar day that any Work shall remain uncompleted after the time specified in the Bid and the Contract, or the increased time granted by the OWNER, or as equitably increased by additional work or materials ordered after the Contract is signed, the sum per day given in the following schedule, unless otherwise specified in the special provisions, shall be deducted from the monies due the CONTRACTOR: The sum of one thousand two hundred dollars($1,200.00, not to exceed) per calendar day.
LIQUIDATED DAMAGES FOR FAILURE TO COMPLETE ON TIME. 1. In as much as failure to complete the project within the time established in this Agreement will result in substantial injury to the COUNTY, and as damages arising from such failure cannot be calculated with any degree of certainty, it is hereby agreed that if the project is not completed, on time, in accordance with the provisions of this Agreement, $1,000.00 dollars for each and every calendar day elapsing between the date fixed for substantial completion of any stage of the project and the date such completion shall be fully accomplished shall be allowed for damages for such delay, not as a penalty. It is also hereby agreed that if this project is not finally complete, in accordance with the requirements of the Contract Documents, the CONTRACTOR shall pay to the COUNTY as liquidated damages for such delay, and not as penalty, one-fourth of the rate indicated above. Said liquidated damages shall be payable in addition to any excess expenses or costs payable by CONTRACTOR to COUNTY under this Agreement shall not exclude the recovery of damages by the COUNTY under the provisions of the Contract Documents, except for CONTRACTOR delays.
LIQUIDATED DAMAGES FOR FAILURE TO COMPLETE ON TIME. (1) Inasmuch as failure to complete the project within the time fixed in Article 6 hereof will result in substantial injury to the DEPARTMENT, and as damages arising from such failure cannot be calculated with any degree of certainty, it is hereby agreed that if the project is not substantially completed, according to the definition of "Substantial Completion" in Article 2.3.2(8)(h) herein, or within such further time, if any, as in accordance with the provisions of the Contract Documents shall be allowed for such substantial completion, the PROVIDER shall pay to the DEPARTMENT as liquidated damages for such delay, and not as a penalty, TWO HUNDRED SIXTY Dollars ($260.00) per facility, for the First Day and ONE HUNDRED FIFTY-EIGHT DOLLARS ($158.00), per facility, per day for each and every calendar day elapsing between the date fixed for substantial completion in Article 6 herein and the date such substantial completion shall have been fully accomplished. It is also hereby agreed that if this project is not fully completed, in accordance with the requirements of the Contract Documents the PROVIDER shall pay to the DEPARTMENT as liquidated damages for such delay, and not as a penalty, one-fourth of the rate indicated above. Said liquidated damages shall be payable in addition to any excess expenses or costs payable by the PROVIDER to the DEPARTMENT under the provisions of Article 14, and shall not exclude the recovery of damages by the DEPARTMENT under the provisions of the Contact Documents, except for PROVIDER's delays

  • Remedies for Events of Default If an Event of Default, as defined in the Indenture, occurs and is continuing, the Trustee or the Holders of not less than 25% in principal amount of the Notes then outstanding may declare all the Notes to be immediately due and payable. If a bankruptcy or insolvency default with respect to the Company or any of its Significant Subsidiaries occurs and is continuing, the Notes automatically become immediately due and payable. Holders may not enforce the Indenture or the Notes except as provided in the Indenture. The Trustee may require indemnity satisfactory to it before it enforces the Indenture or the Notes. Subject to certain limitations, Holders of at least a majority in principal amount of the Notes then outstanding may direct the Trustee in its exercise of any trust or power.

  • Covenants for Reporting of Repurchase Demands due to Breaches of Representations and Warranties (a) The Owner Trustee will (i) in accordance with its obligations pursuant to Section 3.2 of the Sale and Servicing Agreement, provide prompt written notice upon the discovery of any breach of the Seller’s representations and warranties, (ii) no later than five (5) Business Days after the end of each calendar quarter, provide to the Servicer, GM Financial and the Seller, a notice in substantially the form of Exhibit C, or any other form agreed upon between the Owner Trustee and the Seller, which shall be deemed acceptable to the Seller unless the Seller notifies the Owner Trustee within five (5) Business Days of its receipt thereof, with respect to any requests (in writing or orally) for the repurchase of any Receivable pursuant to Section 5.1 of the Purchase Agreement or Section 3.2 of the Sale and Servicing Agreement received by a Responsible Officer of the Owner Trustee during the immediately preceding calendar quarter (or, in the case of the initial notice, since the Closing Date) and (iii) promptly upon reasonable written request by the Servicer, GM Financial or the Seller, provide to them any other information reasonably requested in good faith that is in actual possession of the Owner Trustee and necessary to facilitate compliance by them with Rule 15Ga-1 under the Exchange Act, and Items 1104(e) and 1121(c) of Regulation AB.

  • No Waiver; Amendments; Cumulative Remedies No delay or omission of the Administrative Agent or any Lender to exercise any right or remedy granted under this Security Agreement shall impair such right or remedy or be construed to be a waiver of any Default or an acquiescence therein, and any single or partial exercise of any such right or remedy shall not preclude any other or further exercise thereof or the exercise of any other right or remedy. No waiver, amendment or other variation of the terms, conditions or provisions of this Security Agreement whatsoever shall be valid unless in writing signed by the Administrative Agent with the concurrence or at the direction of the Lenders required under Section 9.02 of the Credit Agreement and then only to the extent in such writing specifically set forth. All rights and remedies contained in this Security Agreement or by law afforded shall be cumulative and all shall be available to the Administrative Agent and the Lenders until the Secured Obligations have been paid in full.
