Finally Complete definition

Finally Complete means that the construction of an improvement to the Licensed Premises has been completed to such an extent that the Commissioner certifies in writing that it has been finally completed and that no further work is required by Licensee pursuant to this License in connection with the construction of said improvement. Notwithstanding the issuance of any such certification, Licensee shall be liable for any claims related to such construction and shall be responsible for any other obligations (including maintenance, repair and indemnity) set forth in this License Agreement.

Finally Complete means, when used with respect to the work to be performed under the Design-Build Agreement, “final completion” as defined in the Design-Build Agreement, and with respect to the Infrastructure Work, the final completion of all aspects of such work and improvements in accordance with all Applicable Laws and in accordance with the requirements for the same contained in this Agreement and in the County Development Agreement and the applicable construction contracts, in each case including the completion of the punch-list type items referred to in the definition of the term “Substantial Completion.” Substantial Completion of all work and improvements is a prerequisite to Final Completion of the same.

Finally Complete and "Finally Completion" has the meaning set forth in Section 6.2.

• If the Contractor does not have the Project Substantially Complete by the specified Date for Substantial Completion or Finally Complete within 14 days of achieving Substantial Completion (“Date of Final Completion”), the Contractor shall pay the Owner (and the Owner may set off from sums coming due the Contractor) Liquidated Damages in the per diem amounts as set forth in the following tables, whichever may be applicable.

• Contractor hereby expressly waives and relinquishes any right which it may have to seek to characterize the above noted liquidated damages as a penalty, which the parties agree represents a fair and reasonable estimate of the Owner’s actual damages at the time of contracting if Contractor fails to Substantially or Finally Complete the Work within the required time periods.

• If the Contractor does not have its Work on the Project Substantially Complete by the specified Date for Substantial Completion or Finally Complete by the Date of Final Completion, the Contractor shall pay the Owner (and the Owner may set off from sums coming due the Contractor) Liquidated Damages in the per diem amounts as set forth in the following tables, whichever may be applicable.

• Items identified in the course of any inspection for Substantial Completion that are required to Finally Complete the Work following Substantial Completion shall be added to the proposed Final Completion Punch List and the revised Final Completion Punch List attached to the Notice of Substantial Completion.

• The Work will be Substantially Complete within 120 (One Hundred Twenty) calendar days from the date when the Contract time commences to run as provided in Document 00700 General Conditions The Work will be Finally Complete and ready for final payment within 180 (One Hundred Eighty) calendar days from the date when the Contract time commences to run as provided in Document 00700 General Conditions.

More Definitions of Finally Complete

Finally Complete each means that Developer has completed, caused to be completed, or obtained a certificate of occupancy for all of the work related to the Phase I Town Improvements, and that the Town has confirmed in writing the Final Completion thereof.

Finally Complete mean the stage in the progress of the Work for any LLTP Phase or Preconstruction Phase, after Substantial Completion, when all remaining items of Work for such phase have been completed, all requirements of the Contract Documents related to such phase are satisfied and the CDOT Acceptance Letter for such phase can be issued. Portions of the phase may be separately and partially deemed Finally Complete at the discretion of the Principal Representative when that portion of the phase reaches such stage of completion and a partial CDOT Acceptance Letter for such phase can be issued.

Finally Complete means the point in time when the Work and services of this Agreement is fully complete in accordance with the Contract Documents, all Punchlists have been completed and the Contractor has fulfilled all of the requirements of Section 39 of the General Conditions.

Finally Complete or “Final Completion” and similar words and phrases mean that the Work, including all punch list items, is fully completed and usable by the Owner and that all corrective action required in connection with any final inspection has been completed. The Final Completion Date of the Work is the date specified on page 2 of the Construction Agreement in the Section labeled Time & Dates.

Finally Complete each mean the required finished condition of the Hotel and the status of the Work existing on the Date of Final Completion.

Finally Complete has the meaning specified in Section 4.19(b). “Financial Statements” has the meaning specified in Section 4.15. “Fiscal Quarter” has the meaning specified in Section 4.15.

Finally Complete mean the stage in the progress of the Work, after substantial completion, when all remaining items of Work have been completed, all requirements of the Contract Documents are satisfied and the Notice of Acceptance can be issued. Discrete physical portions of the Project may be separately and partially deemed finally complete at the discretion of the Principal Representative when that portion of the Project reaches such stage of completion and a partial Notice of Acceptance can be issued. Fixed Limit of Design & Construction Cost The term “Fixed Limit of Design & Construction Cost” shall set forth a dollar amount available for the total Design and Construction Cost for design and construction of all elements of the Work as specified by the Principal Representative. Guaranteed Maximum Price
