Litigation, claims, etc. Except as set forth on Exhibit I, there are no proceedings, actions, litigations, judgments or claims of any nature whatsoever against the Company pending before any government or any administrative forum or before any court or, to the best of Sellers' knowledge, threatened against the Company and Sellers do not know of any basis for any such proceedings, actions, litigations, judgments or claims involving or affecting the Company or its business.
