LM Ordnance Systems. LM Ordnance Systems is duly incorporated, validly existing and in good standing under the laws of Delaware, and has the requisite corporate power and authority to own, operate or lease the assets held by it and to conduct its business in all material respects as such is now being conducted. True, correct and complete copies of the Certificate of Incorporation and By-laws of LM Ordnance Systems (the "LM Ordnance Systems Charter Documents") are included in Schedule 3.1.3 delivered hereunder. The Ordnance Systems Shares have been duly authorized, validly issued and are fully paid and non assessable, constitute all of the issued and outstanding capital stock of LM Ordnance Systems, and are all beneficially owned by Seller as the holder of record free and clear of any Lien. There are no outstanding options, warrants or other rights to acquire any of the authorized capital stock of LM Ordnance Systems, any outstanding securities which are convertible into capital stock of LM Ordnance Systems. The offer and sale of the Ordnance Systems Shares hereunder have not been registered under the Securities Act, or under any state "Blue Sky" law or regulation, in reliance by Seller in part on the representations by Buyer in Section 4.7 herein.

  • Trunk Group Architecture and Traffic Routing 5.2.1 The Parties shall jointly establish Access Toll Connecting Trunks between CLEC and CBT by which they will jointly provide Tandem-transported Switched Exchange Access Services to Interexchange Carriers to enable such Interexchange Carriers to originate and terminate traffic from and to CLEC's Customers. 5.2.2 Access Toll Connecting Trunks shall be used solely for the transmission and routing of Exchange Access and non-translated Toll Free traffic (e.g., 800/888) to allow CLEC’s Customers to connect to or be connected to the interexchange trunks of any Interexchange Carrier that is connected to the CBT access Tandem. 5.2.3 The Access Toll Connecting Trunks shall be one-way or two-way trunks, as mutually agreed, connecting an End Office Switch that CLEC utilizes to provide Telephone Exchange Service and Switched Exchange Access Service in the given LATA to an access Tandem Switch CBT utilizes to provide Exchange Access in the LATA.
