Main Power Supply. The system shall supply a nominal 12V and/or 24V of direct current (DC). Power storage shall be easily accessible for inspection and service from the outside of the Trolley only. If 12 VDC batteries are required then a minimum of two Heavy Duty Group 31 sealed glass matt maintenance free battery units shall be provided. Power storage and battery charging shall utilize a temperature compensating system. The battery terminal cable ends and cables shall be color-coded with red for the primary positive, black for negative, and another color for any intermediate voltage cables. Battery cables shall be flexible and sufficiently long to reach the batteries with tray in the extended position without stretching or pulling on any connection and shall not lie directly on top of the batteries. Except as interrupted by the master battery switch, battery and starter wiring shall be continuous cables with connections secured by bolted terminals; and shall conform to specification requirements of SAE Standard J1127 –Type SGT or SGX and SAE Recommended Practice J541. Battery cables must be of sufficient size to carry the load required by the starting motor. Special battery jump studs shall be supplied and installed, located for access in less than 30 seconds with jumper cables. Starting power shall be provided by a 120kj capacitor. An on board battery charging system shall be provided and installed. The battery charger shall be a minimum of 25 amps at 24VDC. The battery charger shall activate any time the “shore” power is connected to 110VAC and shall charge all storage batteries and provide converted/inverted power for operation of the interior lights. The “shore” power connection shall be corrosion and weather proof. The “shore” power receptacle shall auto eject the connection when ignition is sensed. The “shore” power connection shall supply 110VAC to the engine block heater.

All of the outstanding shares of capital stock and other equity interests of each Material Subsidiary are validly issued and outstanding and fully paid and non-assessable (as such term is determined under applicable law) and all such shares and other equity interests owned by Irish Holdco or another Material Subsidiary are owned, beneficially and of record, by Irish Holdco or such Material Subsidiary free and clear of all Liens, other than Liens created under the Loan Documents and Liens permitted by Section 6.02. As of the Closing Date (and except pursuant to the Acquisition Agreement), there are no outstanding commitments or other obligations of any Material Subsidiary to issue, and no options, warrants or other rights of any Person to acquire, any shares of any class of capital stock or other equity interests of any Material Subsidiary.
