Maintenance and Other Shutdowns. The Operator shall prepare and deliver to the Trust at least 120 days before the beginning of each Contract Year (other than the first Contract Year, in which case such information shall be provided as promptly as practicable after the Operator learns of the commencement of the Contract Year) a schedule of pre-determined shutdowns, if any, for inspection, ordinary maintenance and repairs for the Facility for that Contract Year. To the extent practicable, the Operator shall adhere to the schedule for routine inspection, maintenance and repairs of the Facility. Scheduling of the shutdowns, if any, will be coordinated with other waste water treatment facilities and collection networks operated by the Operator, if any, in accordance with Prudent Industry Practice and Prudent Engineering Practice. Any shutdowns required for maintenance affecting the safety of the Facility will be scheduled by the Operator as required. In the event of an Operating Emergency or other emergency shutdown, forced shutdowns, or reductions in the Capacity of the Facility for any reason, the Operator shall schedule and perform all required repairs and replacements, and restore the Capacity of the Facility in an expeditious manner in accordance with Prudent Industry Practice and Prudent Engineering Practice.
