The Issuer shall duly obtain and maintain in full force and effect all approvals, consents or licenses of any Governmental Authority which are necessary under the laws of Brazil, the Cayman Islands or any other jurisdiction having jurisdiction over the Issuer or the Issuer’s business, assets or property, or the transactions contemplated herein, as well as of any third party under any agreement to which the Issuer may be subject, in connection with the execution, delivery and performance of this Indenture and the Notes by the Issuer or the validity or enforceability of any thereof.

Maintenance of Approvals. Notwithstanding anything herein to the contrary, NBC shall not undertake any modifications to the Light Source design, manufacturing, processing or packaging that could delay or otherwise impact the Approvals or other regulatory submissions, including without limitation, regulatory product reviews, Investigational New Drug applications (INDs), New Drug Applications (NDAs) or any other compliance status without prior written agreement of DUSA. NBC shall obtain and maintain all licenses, permits and registrations other than Approvals (e.g., business licenses and the like) necessary to manufacture the Light Sources and 11 supply them hereunder.
