Maintenance of Governmental Authorizations. The Company and Net shall, and Net shall cause the Restricted Subsidiaries to duly and promptly obtain and maintain in full force and effect all consents, concessions, authorizations, approvals or licenses of any government or governmental agency or authority under the laws of Brazil or any jurisdiction having jurisdiction over the Company, Net or the Restricted Subsidiaries, as the case may be, necessary in all cases for the Company, Net and the Restricted Subsidiaries, as the case may be (a) to operate their respective businesses and (b) to perform their respective obligations under the Securities and this Indenture, as the case may be, including, without limitation, any authorization required to obtain and transfer U.S. dollars out of Brazil in connection with payments under the Securities and this Indenture. Notwithstanding the foregoing, the Company, Net and the Restricted Subsidiaries will not be in breach of this covenant by reason of the occurrence of a Dollar Constraint; provided that, in the event of a Dollar Constraint, the Company complies with the applicable requirements described in Section 3.15.
Maintenance of Governmental Authorizations. The Borrower ------------------------------------------ will maintain in full force and effect all of its governmental and other authorizations, approvals, consents, permits, licenses, certifications and qualifications necessary for the conduct of its business as it is presently being conducted and the ownership and operation of its facilities as they are presently being operated. The Borrower will promptly furnish copies of all reports and correspondence relating to a loss or proposed revocation of any such qualification to the Bank.
Maintenance of Governmental Authorizations. The Borrower will promptly from time to time obtain and maintain in full force and effect all licenses, consents, authorizations and approvals of, and give all notices and make all filings and registrations with, any Governmental Authority necessary under the laws of Colombia for the making and performance by it of this Agreement and the Notes and the consummation of the Equity Contribution and the Acquisition, except where failure to do so does not have a Material Adverse Effect. Without limiting the foregoing, the Borrower will, in accordance with applicable Colombian foreign exchange regulations, not later than fifteen (15) Business Days following the Borrowing Date, inform the Banco de la República de Colombia of the disbursement of the Loans by duly completing and filing Form No. 3A (Notice of offshore disbursements and payments relating to foreign indebtedness), and promptly provide to the Administrative Agent evidence thereof.
Maintenance of Governmental Authorizations. Lessee shall be responsible for obtaining and maintaining all necessary government authorizations, licenses, permits and certificates for its utilization of the Demised Premises and shall carry on its operations in compliance with all such authorizations, licenses, permits and certificates.
Maintenance of Governmental Authorizations. The Borrower shall maintain in effect all governmental approvals (including any exchange control approval), consents, licenses and authorizations that may be necessary or appropriate under any law or regulation applicable to the conduct of business (unless such failure to maintain approvals, consents, licenses or authorizations could not reasonably be expected to have an Adverse Effect Relevant) or for the performance of this Agreement and its validity and enforceability. The Borrower shall submit all necessary applications and will make every effort to obtain any additional authorization as soon as possible once it determines that such authorization or approval is required for the Borrower to meet its obligations under this Agreement.

Maintenance of Governmental Authorizations. Guarantor will maintain in full force and effect all material governmental and other authorizations, approvals, consents, permits, licenses, certifications and qualifications reasonably necessary for the conduct of its business and ownership of its properties.
Maintenance of Governmental Authorizations. Cogen will obtain and maintain all necessary Governmental Authorizations for its activities under this Ground Lease Agreement and will carry on its operations in material compliance with all such Governmental Authorizations, except that if any environmental monitoring or remediation of Exxon's Property becomes necessary, Exxon will obtain and maintain all Governmental Authorizations needed for such environmental monitoring or remediation. Each Party will cooperate with the other Party in obtaining, maintaining and complying with any Governmental Authorizations necessary under this Ground Lease Agreement. Cogen will use reasonable efforts, but will have no obligation, to keep Exxon advised of significant developments with respect to its major Governmental Authorizations relating to the Improvements.
Maintenance of Governmental Authorizations. CNA and, subject to Section 5.5, Lenders Protection, agree to maintain, at all times during the Term hereof and at all Table of Contents times required by Applicable Law, all licenses, authorizations, certificates, permits and other Governmental Authority required to comply with Applicable Law and shall notify the other party immediately in writing to the extent any such licenses, authorization, certificate, permit or other Governmental Authority is suspended, revoked, cancelled, not renewed or otherwise made unavailable.
Maintenance of Governmental Authorizations. The Borrower shall maintain in full force and effect all the authorizations of, registrations before any Governmental Authorities necessary pursuant to the applicable laws to carry out the main activities (including without limitation, environmental laws), in order to comply with the obligations herein and for the enforceability of this Agreement, except that the lack of such authorizations or registrations are not expected to cause a Relevant Adverse Effect.
