Management of Task. After the initial workshop, the Operating Agent will refine the planning and the contents of the activities and will re-define an action list and the milestones of the project. Intermediate workshops and meetings will be scheduled in order to discuss with the Participant the progress of the subtasks (see time schedule in Section 5, Table 2). The communication of intermediate results will take place through progress and technical reports that will be distributed to all Participants. The data-exchange among Participants will be coordinated within Subtask IV. In the initial workshop the Participants will discuss what types of data are requested by the other subtasks. Also, the amount of data available will be estimated and possible solutions for the data- management will be proposed. A consortium agreement will be established to facilitate the exchange of confidential or proprietary data among the Participants.

Management of Task. We envisage biannual meetings in connection with the two major workshops in the field, the US Utility Variable generation Interest Group (UVIG) Forecasting Workshops (typically in February or March) and the EWEA Technology Workshop on Wind Power Forecasting, every other year in autumn in Europe. In between, an online meeting would keep track of the progress. Also for the actual meeting, an online meeting facility should be enabled. In the years where there is no EWEA Forecasting Workshop, an alternative meeting point could be the Wind Integration Workshop also usually held in October or the EWEA Annual Event. The main form of communication in the group will be via email, and via personal contacts during various conferences including the biannual meetings. The US government has already funded setting up and participation in the Task, so the US participants do not require separate funding from the Operating Agent budget.

  • Management of the Company The Company's business and affairs shall be conducted and managed by the Member(s) in accordance with this Agreement and the laws of the State of the Formation. Single-Member (Applies ONLY if Single-Member): The Member(s) of the Company has sole authority and power to act for or on behalf of the Company, to do any act that would be binding on the Company or incur any expenditures on behalf of the Company. The Member(s) shall not be liable for the debts, obligations, or liabilities of the Company, including under a judgment, decree, or order of a court. The Company is organized as a “member-managed” limited liability company. The Member(s) is designated as the initial managing Member(s). Multi-Member (Applies ONLY if Multi-Member): Except as expressly provided elsewhere in this Agreement, all decisions respecting the management, operation, and control of the business and affairs of the Company and all determinations made in accordance with this Agreement shall be made by the affirmative vote or consent of Member(s) holding a majority of the Members’ Percentage Interests. Notwithstanding any other provision of this Agreement, the Member shall not, without the prior written consent of the unanimous vote or consent of the Member(s), sell, exchange, lease, assign or otherwise transfer all or substantially all of the assets of the Company; sell, exchange, lease (other than space leases in the ordinary course of business), assign or transfer the Company’s assets; mortgage, pledge or encumber the Company’s assets other than is expressly authorized by this Agreement; prepay, refinance, modify, extend or consolidate any existing mortgages or encumbrances; borrow money on behalf of the Company; lend any Company funds or other assets to any person or entity; establish any reserves for working capital repairs, replacements, improvements or any other purpose; confess a judgment against the Company; settle, compromise or release, discharge or pay any claim, demand or debt, including claims for insurance; approve a merger or consolidation of the Company with or into any other limited liability company, corporation, partnership or other entity; or change the nature or character of the business of the Company. The Member(s) shall receive such sums for compensation as Member(s) of the Company as may be determined from time to time by the affirmative vote or consent of Member(s) holding a majority of the Member(s)’ Percentage Interests.

  • MANAGEMENT PREROGATIVES 2.1. The Employer retains all rights to manage, direct and control its operations, subject to the provisions of law, personnel regulations and the provisions of this Agreement, to the extent that they are applicable. These rights shall include but not be limited.

  • Access, Use, Monitoring and Inspection Site shall provide original or copies (as the case may be) of all Study Data to Quintiles and Sponsor for Sponsor’s use. Site shall afford Sponsor and Quintiles and their representatives and designees reasonable access to Site’s facilities and to Medical Records and Study Data so as to permit Sponsor and Quintiles and their representatives and designees to monitor the Study. 1.3.3.

  • RECORDS MANAGEMENT AND MAINTENANCE 35 A. CONTRACTOR, its officers, agents, employees and subcontractors shall, throughout the term 36 of this Agreement, prepare, maintain and manage records appropriate to the services provided and in 37 accordance with this Agreement and all applicable requirements.
