Manager’s Obligations after Termination. Upon the termination of this Management Agreement, the Manager shall have the following duties:
(a) The Manager shall deliver to the Owner, or its designee, all books and records with respect to the Properties.
(b) The Manager shall transfer and assign to the Owner, or its designee, all service contracts and personal property relating to or used in the operation and maintenance of the Properties, except personal property paid for and owned by the Manager. Manager shall also, for a period of sixty (60) days immediately following the date of such termination, make itself available to consult with and advise the Owner, or its designee, regarding the operation, maintenance and leasing of the Properties.
(c) The Manager shall render to the Owner an accounting of all funds of the Owner in its possession and shall deliver to the Owner a statement of Management Fees claimed to be due the Manager and shall cause funds of the Owner held by the Manager relating to the Properties to be paid to the Owner or its designee.
(d) The Manager shall cooperate with the Owner to provide an orderly transition of the Manager’s duties hereunder.
Manager’s Obligations after Termination. Upon the termination of this Agreement, Manager shall have the following duties:
(a) Manager shall deliver to Owner, or its designee, all books and records with respect to the Properties and/or the Owner.
(b) Manager shall transfer and assign to Owner, or its designee, all service contracts and personal property relating to or used in the operation and maintenance of the Properties, except personal property paid for and owned by Manager. Manager shall also, for a period of sixty (60) days immediately following the date of such termination, make itself available to consult with and advise Owner, or its designee, regarding the operation and maintenance of the Properties.
(c) Manager shall render to Owner an accounting of all funds of Owner in its possession and shall deliver to Owner a statement of Management Fees claimed to be due Manager and shall cause funds of Owner held by Manager relating to the Properties to be paid to Owner or its designee.
Manager’s Obligations after Termination. Upon the termination of this Agreement, Manager shall have the following duties:
1. Manager shall deliver to Owner, or its designee, all transferable or assignable books and records with respect to the Properties.
2. Manager shall transfer or assign to Owner, or its designee, all transferable or assignable service contracts and personal property relating to or used in the operation and maintenance of the Properties, except personal property paid for and owned by Manager. Manager shall also, for a period of sixty (60) days immediately following the date of such termination, make itself available to consult with and advise Owner, or its designee, regarding the operation, maintenance and leasing of the Properties.
3. Manager shall render to Owner an accounting of all funds of Owner in its possession and shall deliver to Owner a statement of Management Fees claimed to be due Manager and shall cause funds of Owner held by Manager relating to the Properties to be paid to Owner or its designee.
4. All provisions of this Agreement that require Manager to have insurance, or to protect, defend, save, hold harmless and indemnify or to reimburse Owner shall survive any expiration or termination of this Agreement and, if Owner is or becomes involved in any claim, proceeding or litigation by reason of having been Owner, such provisions shall apply as if this Agreement were still in effect. Manager shall furnish all such information and take all such action as Owner shall require to effectuate an orderly and systematic termination of Manager’s duties and activities under this Agreement. Manager hereby grants a limited power of attorney to Owner to endorse any checks received in connection with the Properties and hereby assigns to Owner effective upon the date of such termination any and all rights Manager may have in and to the Properties’ records.
Manager’s Obligations after Termination. Upon the termination of this Agreement, Manager will have the following duties:
14.1. Manager will deliver to Owner, or its designee, all books and records (including data files in magnetic or other similar storage media but specifically excluding any licensed software) with respect to the Properties.
14.2. Manager will transfer and assign to Owner, or its designee, or terminate upon Owner’s direction, all service contracts (designated by Owner for transfer and assignment) and personal property relating to or used in the operation and maintenance of the Properties, except personal property paid for and owned by Manager. Manager will also, for a period of sixty (60) days immediately following the date of such termination (with respect to this entire Agreement or any Property terminated as being subject to this Agreement), make itself available to consult with and advise Owner, or its designee, regarding the operation, maintenance and leasing of the Properties.
14.3. Manager will render to Owner an accounting of all funds of Owner in its possession and shall deliver to Owner a statement of management fees claimed to be due Manager and shall cause funds of Owner held by Manager relating to the Properties to be paid to Owner or their designees and shall assist in the transferring of approved signatories on all Accounts.
14.4. Manager shall provide accounting services and related services for so long as required to wind-down the operation of the Owner entity which owned the Property, included by not limited to preparing and filing tax returning and corporate governance documentation for so long as required by governing authorities. Owner shall reimburse Manager a reasonable fee for such post-sale services determined by the allocation of Property Personnel providing such services.
Manager’s Obligations after Termination. Upon the expiration or termination of this Agreement pursuant to Section 10.2 or 10.3, the Manager shall:
(a) deliver to FNF, or to such other person or persons designated by FNF, copies of all dedicated books and records of the Property and all funds in the possession of the Manager belonging to FNF or received by the Manager pursuant to the terms of this Agreement;
(b) deliver to FNF any and all funds of FNF on hand or in any bank account, including all security deposits of tenants, if not previously delivered to FNF, less any unpaid compensation due to the Manager pursuant to this Agreement, and less any other reimbursements due to the Manager under this Agreement;
(c) deliver to FNF, as received, any funds due to FNF under this Agreement but received after such termination;
(d) deliver to FNF all materials, supplies, keys, contracts, documents, plans, specifications, promotional materials and other materials dedicated to the Property; and
(e) assign, transfer or convey to such person or persons all service contracts and personal property dedicated to or used exclusively in the operation and maintenance of the Property, except any personal property which was paid for and is owned by the Manager. The Manager shall, at its cost and expense, remove all signs that it may have placed at the Property indicating that it is the Manager of the Property and repair and restore any damage resulting therefrom. The Manager shall also, for a period of 90 days after such expiration or termination, make itself available to consult with and advise FNF, or such other person or persons designated by FNF, regarding the operation and maintenance of the Property. The Manager shall be reimbursed for all actual costs and out of pocket expenses incurred by it in connection with any such termination and the transition to a new manager for the Property, provided that the Manager shall use its reasonable commercial efforts to mitigate such costs and expenses.

(b) Manager shall transfer and assign to Owner, or its designee, all service contracts and personal property relating to or used in the operation and maintenance of the Partnership Properties, except personal property paid for and owned by Manager. Manager shall also, for a period of 60 days immediately following the date of such termination, make itself available to consult with and advise Owner, or its designee, regarding the operation and maintenance of the Partnership Properties.
(c) Manager shall render to Owner an accounting of all funds of Owner in its possession and shall deliver to Owner a statement of Management Fees claimed to be due Manager and shall cause funds of Owner held by Manager relating to the Partnership Properties to be paid to Owner or its designee.

Manager shall transfer and assign to Owner (or Owner JV, if applicable), or its designee, all service contracts and personal property relating to or used in the operation and maintenance of the Xxxxx' Managed Properties, except personal property paid for and owned by Manager. Manager shall also, for a period of sixty (60) days immediately following the date of such termination, make itself available to consult with and advise Owner, or its designee, regarding the operation, maintenance and leasing of the Xxxxx' Managed Properties.
