Property Personnel. Property Manager shall employ, supervise, and discharge all employees required in connection with the operation and management of the Property. All such personnel shall, in every instance, be employees of Property Manager or independent contractors. Property Manager shall provide and maintain, so long as this Agreement is in force, worker’s compensation insurance in full compliance with all applicable state and federal laws and regulations covering all employees of Property Manager performing work in respect of the Property operations. The granting of unbudgeted employee fringe benefits and plans not required by law or union contract shall be subject to the reasonable prior written approval of Owner. Property Manager agrees to comply with all governmental anti-discrimination laws and shall not, unless acting at the direction of Owner, do any act, nor permit any act to be done that would constitute a violation of any or all of such laws. Property Manager shall indemnify and hold Owner harmless from and against any and all claims, penalties, liabilities and expenses of whatsoever kind and nature which may be asserted by any governmental body having authority or by any person claiming to be aggrieved by reason of any acts or failure to act by Property Manager in accordance with or in violation of any said anti-discrimination laws, as long as such act or failure to act is not caused or directed by Owner. All Employees working on the Property are considered to be Employees of the Owner and not the Agent even though salaries and benefits may be paid through a master agency account. All salaries, taxes, insurance and other benefits paid to such Employees through a master agency account shall be reimbursed immediately and shall not be considered an expense of the management company. The Agent shall not grant any non-budgeted Employee fringe benefits and plans not required by laws or union contract without written consent of Owner. Agent will not discriminate against any Employee or applicant for employment because of race, creed, color, sex or national origin. Said Employees shall include the following:
Property Personnel. From and after the Execution Date until Closing or the earlier termination of this Agreement, Buyer shall have the right to interview Property staff in anticipation of retaining such staff following Closing.

Property Manager agrees to comply with all governmental anti-discrimination laws and shall not do any act nor permit any act to be done which would constitute a violation of any or all of such laws, and Property Manager hereby indemnifies and holds harmless Owner from and against any and all claims, penalties, liabilities of whatsoever kind and nature which may be asserted by any governmental body having authority or by any person claiming to be aggrieved by reason of any acts or failure to act by Property Manager in accordance with or in violation of any said anti-discrimination law. Employees of the Property shall include such other office and secretarial personnel and other personnel required to operate and maintain the Property including air-conditioning mechanics, electricians, plumbers, painters, carpenters, grounds keepers, janitorial and custodial persons, security guards, etc., as approved by Owner at the Property Manager’s request.

However, Owner agrees to review and approve an annual bonus plan for on-site Employees at the time of Budget approval should bonuses not be included in the approved Budget. All Property Personnel shall be employees of Manager. Manager shall provide and maintain, at County’s expense so long as this Agreement is in force and effect and the expense is provided for in the Budget, workmen’s compensation insurance in full compliance with all applicable state and federal laws and regulations covering all employees of Manager who spend 100% of their work time performing work in respect of the operations of the Property. Manager shall fully comply with all applicable laws and regulations related to workers’ compensation, social security, ERISA, and other applicable pension matters, unemployment insurance, hours of labor, wages, working conditions, and other employer-employee related subjects, although County shall be responsible for all payments and contributions to or on account of such employees provided that this Agreement is in full force and effect and such expenses are provided for in the Budget. “Property Personnel” shall mean those persons employed by Manager to carry out Manager’s obligations under this Agreement (including, but not limited to, the Manager- Level Employees, Maintenance Technicians, and other personnel necessary to the operation and maintenance of the Property as specified in the Budget).

Property Manager shall defend (with counsel selected by Property Manager and reasonably acceptable to Owner, with Owner having the right, at its option to be represented by advisory counsel of its own selection and at its own expense), indemnify and hold Owner harmless from and against any and all claims, penalties, liabilities and expenses of whatsoever kind and nature which may be asserted by any governmental body having authority or by any person claiming to be aggrieved by reason of any acts or failure to act by Property Manager in accordance with or in violation of any said anti-discrimination laws, as long as such act or failure to act is not caused or directed by Owner.
