MANAGER’S WARRANTIES. The Manager warrants to the Landlord that: - its core business is the management of real estate developments and that it has the requisite skills, competencies and financial resources to professionally undertake the operation, control and oversight of the Premises; the Manager warrants that the Services shall be performed professionally, with due care and diligence and to such high standard of quality consistent with this Agreement or accepted industry standards (whichever standard is higher) and as it is reasonable for the Landlord to expect in all the circumstances and further that the Services shall be performed dutifully and in a timely manner; all information furnished to the Landlord by or on behalf of the Manager in relation to its proposal to provide the Services was, and remains, true and accurate in all material respects and such proposal did not omit any material information which might reasonably be expected to affect the decision of the Landlord to enter into this Agreement. If at any time any representations made by the Manager are found to have been false or misleading, then the Landlord shall be entitled to terminate the Agreement in accordance with clause 17 (Termination); it validly exists under the laws of Kenya and has obtained all necessary permits, licences and consents from the necessary authorities’ necessary to enter and perform its obligations under this Agreement; and at the execution of this Agreement, there are no proceedings pending or, to its knowledge, threatened, and there is no existing basis for any such proceedings, against or affecting it by or before any court, arbitrator, or other governmental authority which, if adversely determined, individually or in the aggregate might be reasonably expected to materially and adversely affect its properties, business, prospects, profits or condition or adversely affect its ability to perform its obligations under this Agreement and shall inform the Landlord in the event of any change to this warranty.
MANAGER’S WARRANTIES. The Manager represents and warrants that he will provide competent management; that he has the qualifications, experience and capabilities necessary to carry out the services to be performed hereunder; and that the services will be performed in a competent and efficient manner.
MANAGER’S WARRANTIES. The Manager warrants (garantiert) to the Buyer by way of an independent warranty (selbst’ndiges Garantieversprechen) under Section 311 subs. 1 of the German Civil Code (Bürgerliches Gesetzbuch; BGB) within the scope and subject to the requirements and limitations provided in Clauses 4 and 5 hereof or otherwise in this Agreement that the following Warranties are true and accurate in all respects on the date of this Agreement.

  • Seller’s Warranties (1) The Seller warrants that, except as disclosed in this contract at settlement:
