MANUALS, BROCHURES, INSTRUCTIONS. Any and all operating manuals, instructions, brochures, warnings or the like concerning the goods supplied hereunder shall be written in the English language, and are supplied as an aid to Buyer and are not represented to be accurate, complete or sufficient. Buyer warrants that it will accurately transcribe such manuals, instructions, brochures or warnings to appropriate languages and dialects to comply with all applicable laws and so that its employees and all third party users of the goods will be properly informed of all the contents thereof. Buyer will indemnify and hold harmless Seller against all liabilities and expenses (including attorneys' fees) arising out of the use of the goods by the Buyer or a third party in any case where the Buyer fails to make available adequate warnings, labels, manuals and instructions concerning the proper and normal use of the goods.

MANUALS, BROCHURES, INSTRUCTIONS. All operating manuals, instructions, brochures, warnings, or similar materials concerning the Products (collectively, the “Operator Service Manual”) are provided to Buyer as a source of information on the safe and proper maintenance and operation of the Products. Xxxxx’s failure to comply with the recommendations set out in the Operator Service Manual may result in personal injury and/or property damage. Xxxxx agrees to not remove warnings, notices, safety guards or other protective devices, except for maintenance as recommended by, and in accordance with, the Operator Service Manual.

Buyer warrants that it will train all of its employees and/or third party users of the products purchased by Buyer so that such employees and/or third parties will use the products properly and safely. Buyer will indemnify and hold harmless the Manufacturer against all liabilities and expenses (including attorneys' fees) arising out of the use of the products by Buyer or a third party where Buyer fails to provide adequate warnings and instructions concerning the proper and normal use of the products. Buyer acknowledges that improper use of the products carries a risk of injury to patients.

For clarity, the aggregate amount of the Capital Calls funded under this Agreement will not exceed the Investor Capital Contribution.

  • Shipping Instructions Unless otherwise instructed, all goods are to be shipped prepaid, FOB Destination, as defined in RCW Title 62A. Where specific authorization is granted to ship goods FOB Shipping Point, the Contractor agrees to prepay all shipping charges, to route cheapest common carrier, and to bill the UW as a separate item on the invoice for the charges. The UW reserves the right to refuse COD shipments. Regardless of FOB point, the Contractor agrees to bear all risks of loss, injury, or destruction of goods and materials ordered herein that occur prior to delivery, and such loss, injury, or destruction shall not release the Contractor from any obligation hereunder.

  • Proper Instructions and Special Instructions “Proper Instructions,” which may also be standing instructions, as such term is used throughout this Agreement shall mean instructions received by the Custodian from a Fund, a Fund’s duly authorized investment manager or investment adviser, or a person or entity duly authorized by either of them. Such instructions may be in writing signed by the authorized person or persons or may be in a tested communication or in a communication utilizing access codes effected between electro-mechanical or electronic devices or may be by such other means and utilizing such intermediary systems and utilities as may be agreed from time to time by the Custodian and the person(s) or entity giving such instruction, provided that the Fund has followed any security procedures agreed to from time to time by the applicable Fund and the Custodian including, but not limited to, the security procedures selected by the Fund via the form of Funds Transfer Addendum hereto, the terms of which are hereby agreed to. Oral instructions will be considered Proper Instructions if the Custodian reasonably believes them to have been given by a person authorized to provide such instructions with respect to the transaction involved; the Fund shall cause all oral instructions to be confirmed in writing. For purposes of this Section, Proper Instructions shall include instructions received by the Custodian pursuant to any multi-party agreement which requires a segregated asset account in accordance with Section 2.9 hereof.

  • Completeness and Contents of Instructions The Authorized Person shall be responsible for assuring the adequacy and accuracy of Instructions. Particularly, upon any acquisition or disposition or other dealing in the Fund's Investments and upon any delivery and transfer of any Investment or moneys, the person initiating the Instruction shall give the Custodian an Instruction with appropriate detail, including, without limitation: 4.3.1 The transaction date and the date and location of settlement; 4.3.2 The specification of the type of transaction; 4.3.3 A description of the Investments or moneys in question, including, as appropriate, quantity, price per unit, amount of money to be received or delivered and currency information. Where an Instruction is communicated by electronic means, or otherwise where an Instruction contains an identifying number such as a CUSIP, SEDOL or ISIN number, the Custodian shall be entitled to rely on such number as controlling notwithstanding any inconsistency contained in the Instruction, particularly with respect to Investment description; and 4.3.4 The name of the broker or similar entity concerned with execution of the transaction. If the Custodian determines that an Instruction is either unclear or incomplete, the Custodian may give prompt notice of such determination to the Fund, and the Fund shall thereupon amend or otherwise reform the Instruction. In such event, the Custodian shall have no obligation to take any action in response to the Instruction initially delivered until the redelivery of an amended or reformed Instruction.
