Manufacturing Reports. For purposes of assisting in the scheduling of manufacturing resources, on a [*] basis, Publisher shall provide Microsoft with forecasts showing manufacturing projections by Sales Territory [*] out for each Software Title. Publisher will use commercially reasonable efforts to cause the Authorized Replicator to deliver to Microsoft true and accurate [*] statements of FPUs manufactured in each [*], on a Software Title-by-Software Title basis and in sufficient detail to satisfy Microsoft, within [*]. Microsoft will have reasonable audit rights to examine the records of the Authorized Replicator regarding the number of FPUs manufactured.

The reports that BioSearch shall provide to IntraBiotics pursuant to Section 2.4 shall include a summary of BioSearch's efforts to scale up the manufacturing process for Bulk Licensed Compound pursuant to Section 2.3. Manufacturing Reports. For purposes of assisting in the scheduling of manufacturing resources, in the Annual Title Map (and any updates thereto) EA shall provide Microsoft with forecasts showing manufacturing projections by Sales Region for each Software Title listed on the Annual Title Map. EA will update these forecasts for each Software Title by Sales Region in the Quarterly Updates. EA will use commercially reasonable efforts to cause the Authorized Replicator to deliver to Microsoft true and accurate [***] statements of FPUs manufactured in

EA will update these forecasts for each Software Title by Sales Territory via its Quarterly Updates. EA will use commercially reasonable efforts to cause the Authorized Replicator to deliver to Microsoft true and accurate monthly statements of FPUs manufactured in each calendar month, on a Software Title-by-Software Title basis and in sufficient detail to satisfy Microsoft, within fifteen (15) days after the end of the applicable month. Microsoft will have reasonable audit rights to examine the records of the Authorized Replicator regarding the number of FPUs manufactured.

For purposes of assisting in the scheduling of manufacturing resources, on a [***] basis, or as otherwise requested by Microsoft in its reasonable discretion, Publisher shall provide Microsoft with forecasts showing manufacturing projections by Sales Territory [***] out for each Software Title. Publisher will use commercially reasonable efforts to cause the Authorized Replicator to deliver to Microsoft true and accurate [***] statements of FPUs manufactured in each [***], on a Software Title-by-Software Title basis and in sufficient detail to satisfy Microsoft, within [***]. Microsoft will have reasonable audit rights to examine the records of the Authorized Replicator regarding the number of FPUs manufactured. On [***] of each year following Everest’s Manufacturing of the Compound or Licensed Products, Everest shall provide Sxxxx with a written report summarizing in sufficient detail for Sxxxx to verify Everest’s compliance with its obligations under this Agreement, the API and drug product manufacturing processes being used by Everest, its Affiliates or Sublicensee, including product and manufacturing specifications, quality controls and assurances, test methods and raw material information.

Subject to any limitations and/or restrictions imposed by applicable law (including, without limitation, federal and state securities laws), for purposes of assisting in the scheduling of manufacturing resources, on a XXXX basis, or as otherwise requested by Microsoft in its reasonable discretion, Publisher shall use its commercially reasonable efforts to provide Microsoft with forecasts showing manufacturing projections by Sales Territory XXXX out for each Software Title. Publisher will use commercially reasonable efforts to cause the Authorized Replicator to deliver to Microsoft true and accurate XXXX statements of FPUs manufactured in each XXXX, on a Software Title-by-Software Title basis and in sufficient detail to satisfy Microsoft, XXXX.
Manufacturing Reports. For purposes of assisting in the scheduling of manufacturing resources, on a **** basis, or as otherwise requested by Microsoft in writing in its reasonable discretion, Publisher shall provide Microsoft with forecasts showing manufacturing projections by Sales Territory **** out for each Software Title. Such forecasts shall not be binding. Publisher will use commercially reasonable efforts to cause the Authorized Replicator to deliver to Microsoft true and accurate **** statements of FPUs manufactured in each ****, on a Software Title-by-Software Title basis and in sufficient detail to satisfy Microsoft, within ****. Microsoft will have reasonable audit rights to examine the records of the Authorized Replicator regarding the number of FPUs manufactured upon ten (10) days advance written notice to Publisher; provided, that any representative(s) of Microsoft conducting such examination shall be required to preserve such records as strictly confidential and may be required to execute a nondisclosure agreement in a form reasonably suitable to Publisher and Microsoft.
