MARKET RESEARCH SERVICES. This clause 12 applies if the Services provided by the Consultant include market research services in addition to the terms which relate to Services generally. If the Deliverables include market research data which is Consultant Background IP that it licenses to multiple clients (other than as specified in the Statement of Work), the Consultant grants MLA a non-exclusive, perpetual, irrevocable, royalty free licence (including the right to sub-licence) to use the Consultant Background IP for the objectives set out in the Statement of Work. The Consultant must use commercially reasonable efforts to ensure that all market research data in any Deliverables that are provided to MLA complies with the privacy obligations in clause 8.1, is in a format acceptable to MLA as set out in the Statement of Work, is error free and is not misleading and deceptive.
MARKET RESEARCH SERVICES. Wiley will conduct market research relating to marketplace size, demand, and competition for contemplated programs and new initiatives. Wiley will conduct research and provide market research insights to Institution on an as-needed basis that report on the factors that affect the Programs as well as potential opportunities for Institution in the marketplace. The Services described in this section will be referred to as “Market Research Services”.
MARKET RESEARCH SERVICES. With Client's prior written approval, Provider may use third party market research services to generate consumer and market insights in connection with Services provided hereunder (collectively "Market Research Services"). Client acknowledges that any information provided to Client in connection with such Market Research Services is provided for informational purposes only and without representations or warranties of any kind. Client will pay a fee equal to 1% of the professional services fee in the applicable SOW for Market Research Services, which will be invoiced in equal amounts aligned with the invoice schedule set forth therein.
