AllinstallationofmeasurinegquipmentAll installationof measuringequipment,applyingto oreffectingdeliverieshereunders, hallbe madeinsuchmanneras topermitanaccuratedeterminatioonfthe quantityof gasdelivered andready verificatioonfthe accuracyofmeesuremenLOrificemeter installationsitoreffectingdeliveries hereunder,shallbemadeinsuch manneras to permit an accuratedeterminationof thequantityof gas delivered and readyverificationofthe accuracyof measurement. Orificemeter installations,if used,shallconformtothe shallconformto the recommendationfor designandinstallatiocnontainedin designand installationcontainedin theGas MeasurementCommitteRe eportNoMeasurementCommitteeReportNo. 3 tothe AmericanGas AssociationpublishedApril,1955,andanymodificationsandamendmentsthereofandshallindudethe useof to the AmericanGasAssociation publishedApril, 1955,and anymodificationsand amendmentsthereofandshallincludetheuse of flange connections. 8. Measurementon Sellers meteror metersshallbe conclusiveof both parties exceptwherethe meteris defectiveor fails to register, or iffound inerror, in eitherof whichcaseSeller shall repair or replacethe meterendthequanfityof gasdeliveredwhilethe meter wasout of orderorfailedto registershall be estimated: (a) Byusingthe registrationof anycheckmeter if installed and accuratelyregistering,or, in theabsenceof (a): (b) By correcting the errorif the percentageof error by calibration, test ormathematicalcalculationo, r, intheabsence of both (a) and (b)then: (c) Byestimatingthequantityof deliveryfrom deliveries during periodsundersimilarconditionswhen the meterwas registeringaccurately;andan appropdatebilling adjustmentshall be madein accordancewiththe current Rules and Regulationsgoverninggassystemsissuedbythe Commission. 9. Seller willmaintainits metersin goodorderandto this end willmake periodic testsof its meterspursuantto thecurrent Rules and Regulationsgoverninggassystemsissued by the Commission,orat suchshorterintervalsas seemto Seller desirable. If Buyeris dissatisfiedwiththe accuracyat any time, it may cell uponSellerto havethemetertestedin accordance with all regulationsrelatingto suchtests andresultsof such tests asfound in thecurrent Rulesand Regulationsgoveming gas systems issuedby theCommission. 10. Each partyshall preserveall recordsfora periodof at leasttwo (2) years.

Measurement on Seller's meter or meters shall be conclusive of both parties except where the meter is defective or fails to register, or if found in error, in either of which case Seller shall repair or replace the meter and the quantity of gas delivered while the meter was out of order or failed to register shall be estimated: (a) By using the registration of any check meter if installed and accurately registering, or, in the absence of (a): (b) By correcting the error if the percentage of error is ascertainable by calibration, test or mathematical calculation, or, in the absence of both (a) and (b) then: (c) By estimating the quantity of delivery from deliveries during periods under similar conditions when the meter was registering accurately; and an appropriate billing adjustment shall be made in accordance with the current Rules and Regulations governing gas systems issued by the Commission. 9. Seller will maintain its meters in good order and to this end will make periodic tests of its meters pursuant to the current Rules and Regulations governing gas systems issued by the Commission, or at such shorter intervals as seem to Seller desirable. If Buyer is dissatisfied with the accuracy at any time, it may call upon Seller to have the meter tested in accordance with all regulations relating to such tests and results of such tests as found in the current Rules and Regulations governing gas systems issued by the Commission. 10. Each party shall preserve all records for a period of at least two (2) years.

If Buyer is dissatisfied with the accuracy at any time, it may call upon Seller to have the meter tested in accordance with all regulations relating to such tests and results of such tests as found in the current Rules and Regulations governing gas systems issued by the Commission. 10. Each party shall preserve all records for a period of at least two (2) years.

If Buyer Is dissatisfied with the accuracy at any time, it may call upon Seller to have the meter tested In accordance with all regulations relallng to such tests and results of such tests as found In the current Rules and Regulations governing gas systems Issued by the Commission. 9. Seller willmaintainitsmetersin good orderand to this endwill make periodictests of its meterspursuantto the current Rules and Regulationgsoverninggas systemsissued by the Commission,orat suchshorteirntervals as seem to Sellerdesirable. If Buyer is dissatisfiedwith the accuracyat anytime, it maycall upon Sellerto havethe meter tested in accordance with all regulationsrelatingto such tests and resultsof suchtests as found in the current Rules and Regulationsgoverning gassystems issuedbythe Commission.

MEASURING EQUIPMENT. 1. Sellerwill maintainandoperateaSeller will maintain and operate, t itsown,expenseand atthe pointofdeliveryofgas hereunderaat Its own, meteror expense and at the point of delivery of gas hereunder, a meter or meters andothernecessaryequipmenbt ywhichthe volumeof gasdelivered hereundershallbe measuredS. uchmetersandequipmentshall remainthe propertyof theSellerand other necessary equipment by which the volume of gas delivered hereunder shall be measured. Such meters and equipment shall remain the property of the Seller. 2. BuyeragreestofurnishtoSellerelectddtyfor operatingSeller'smeters,Xxxxx agrees to furnish to Seller electricity for operating Seller's meters, at notcostto not cost to Seller. 3. BuyeragreestochangethechartsonSeller'smetersat nocostto Sellerandforwardsameto Buyer hereby grants to Seller suitable rights-of-way and easements necessary or Incidental for the Installation, maintenance, operation and removal of pipeline and other facilities together with rtghts of Ingress thereto and egress there from at all times and hereby agrees to deliver to Seller, for the sum of one dollar ($1.00), an appropriate Instrument or grant defining such rights and easements located on Buyer's plant site. 4. BuyerherebygrantstoSellersuitablerighte-of-waayndeasementsnecessaryor inddentsflor the installationmBuyer may Install, aintenancemaintain and operate such check measuring equipment, operationandremovaol f pipelineandotherfacilities togetherwithfights ofingrestheretoandegressthere from at alltimesandherebyagreestodelivertoSeller,for thesum ofonedollar($1.00),an appropriatienstrumenot r grant defining suchfights andeasementslocatedonBuyer'splantsite. 5. Buyermay installmIncluding a recording gravltometer and calorimeter as It shall desire, aintainandoperatesuchcheck measuring equipmenti,ncludinga recordingravitometearndcalorimeteras itshalldesire,providedthatsuchequipmenst hallbeso installedso provided 1hat such equipment shall be so Installed so as not to interferweiththeoperationofSeller'smeasuringequipmenatt Interfere with the operation of Seller's measuring equipment at or nearthe pointof near the point of deliver.. Orifice meter Installations, hanging,repairingi,nspecting,testing,calibratingo,r adjustingdonein connectionwiththe other'smeasuringequipmenutsedin measurindgeliverieshereunderandeachpartyshalladvisetheotherof any intendedmajormaintenanceoperationsuffidentlyin advancein order thatthe otherpartymayconvenientlhyaveitsrepresentativepresenL 7. Allinstallationofmeasurinegquipment,applyingto oreffectingdeliverieshereundersIf used, hallbe madeinsuchmanneras topermitanaccuratedeterminatioonfthe quantityof gasdelivered andready verificatioonfthe accuracyofmeesuremenLOrificemeter installationsit,used,shallconformtothe recommendationfor designandinstallatiocnontainedin theGas MeasurementCommitteRe eportNoshall conform to the recommendation for design and Installation contained In the Gas Measurement Committee Report No. 3 tothe AmericanGas AssociationpublishedApril,1955,andanymodificationsandamendmentsthereofandshallindudethe useof to the American Gas Association published Aprll, 1955, and any modifications and amendments \hereof and shall Include 1he use of flange connections. 7. Measurement on Seller's meter or meters shall be conclusive of both parties except where the meter is defective or falls to register, or If found In error, In either of which case Seller shall repair or replace the meter and the quantity of gas delivered while the meter was out of order or failed to register shall be estimated: (a) By using the registration of any check meter if installed and accurately registering, or, In the absence of (a): (b) By correcting the error If the percentage of error by calibration, test or mathematical calculation, or, In the absence of both (a) and (b) then: (c) By estimating the quantity of delivery from deliveries during pertods under similar conditions when the meter was registering accurately; and an appropriate billing adjustment shall be made In accordance with the current Rules and Regulations governing gas systems Issued by the Commission. 8. Seller wlll maintain lls meters In good order and to this end will make periodic tests of lls meters pursuant to the current Rules and Regulations governing gas systems Issued by the Commission, or at such shorter Intervals as seem to Seller desirable. If Buyer Is dlssatlsfled with the accuracy at any time, it may call upon Seller to have the meter tested In accordance with all regulations relating to such tests and results of such tests as found in the current Rules and Regulations governing gas systems Issued by the Commission. 9. Each party shall preserve all records for aperiod of at least two (2) years.

Measurementon Seller'smeteror meters shall be conclusiveof both parties exceptwhere the meteris defectiveor failsto register,or if found in error, in either of whichcase Sellershall repairor replace the meterandthe quantityof gas deliveredwhilethe meter was out of order orfailed to registershall be estimated:(a) Byusing the registrationof anycheckmSterif installedand accuratelyregistering,or, in the absenceof (a):(b) By correctingthe errorif the percentageof errorby calibration,test or mathematicacl alculation, or, in the absenceof both (a)and (b) then:(c) Byestimatingthe quantity of delivery from deliveries duringperiods under similarconditionswhen the meterwas registeringaccurately;and an appropriatebilling adjustmentshall be madein accordancewiththe current Rulesand Regulationsgoveminggas systemsissuedbythe Commission. 9. Sellerwill maintainits metersin good orderand to this endwill make periodictests of its meterspursuantto the currentRules and Regulationsgoverninggas systemsissuedby the Commission,or at suchshorterintervals as seem to Sellerdesirable. If Xxxxxxx dissatisfiedwith the accuracyat anytime, it may call uponSellerto have the meter tested in accordance with all regulationsrelatingto such tests and resultsof such tests as found in the current Rules and Regulationsgoverninggas systemsissuedbythe Commission. 10. Buyermay installmBuyer mayinstall,maintainandoperatesuch check measuring equipment,includinga recordinggravitometerand calorimeteras it shalldesire, aintainandoperatesuchcheck measuring equipmenti,ncludinga recordingravitometearndcalorimeteras itshalldesire,providedthatsuchequipmenst hallbeso providedthatsuch equipment shall be so installedso as not to interferweiththeoperationofSeller'smeasuringequipmenatt interferewiththe operationof Seller's measuringequipmentat or nearthe pointof deliver.. However,all billingstothe Buyershallbebasedonthe meteringof billingsto the Buyershall be based on the metering of the Seller,subjectonlytotheprovisionosfParagraph8 , subjectonly to the provisionsof Paragraph8 of this Article. 6. Eachparty shallhavethefightto Each party shallhavetherightto be presentat the time ofany installingrof any installing, reading,eadingcleaning,cleaningcchanging, hanging,repairingi,nspectingrepairing, inspecting,testing,calibratingocalibrating,r adjustingdonein connectionwiththe other'smeasuringequipmenutsedin measurindgeliverieshereunderandeachpartyshalladvisetheotherof or adjustingdone in connectionwith the other's measuringequipmentusedin measuringdeliveries hereunderand eachpartyshall advisethe other of any intendedmajormaintenanceoperationsuffidentlyin advancein intendedmajor maintenanceoperationsufficientliyn advance in order thatthe otherpartymayconvenientlhyaveitsrepresentativepresenL that theother partymayconvenientlyhaveits representativepresent. 7. AllinstallationofmeasurinegquipmentAll installationof measuringequipment,applyingto oreffectingdeliverieshereunders, hallbe madeinsuchmanneras topermitanaccuratedeterminatioonfthe or effecting deliverieshereunder,shall be madein such manneras to permitan accuratedeterminationof the quantityof gasdelivered andready gas delivered and ready verificatioonfthe accuracyofmeesuremenLOrificemeter installationsitaccuracyof measurement Orifice meter installationsif,used,shallconformtothe , shallconformto the recommendationfor designandinstallatiocnontainedin theGas MeasurementCommitteRe eportNo. 3 tothe AmericanGas AssociationpublishedApril,1955,andanymodificationsandamendmentsthereofandshallindudethe designand installationcontained in the Gas MeasurementCommitteeReportNo.3 to the American Gas AssociationpublishedApril, 1955,and anymodifications and amendmentsthereofand shallincludethe useof flange connections. 8. MeasurementonSeller'smeter ormeters shallbe conclusive of both partiesexceptWherethe meterisdefectiveor failsto registero, r if found inerror,ineitherofwhichcase Sellershall repair or replacethemeterandthequantityof gas deliveredwhilethe meterwas outoforderorfailedto registershallbeestimated(:a) Byusingtheregistratioonf anycheckmeter if installed andaccuratelyregisteringo,r, in the absenceof(a): (b) Bycorrectingthe errorifthepercentageof errorby calibration,test or mathematicaclalculation,or, in the absenceof both (a) and(b) then:(c)Byestimatingthequantityof deliveryfrom deliveriesduringperiods undersimilarconditionswhenthe meterwas registeringaccuratelya;nd anappropriatebilling adjustmensthallbe madeinaccordancewiththecurrent Rules andRegulationgsoverninggassystemsissuedby the Commission. 9. Seller wilemaintainitsmetersin goodorderandto this endwillmakeperiodictestsof itsmeters pursuanto the currentRulesandRegulationgsoverningassystemsissuedby the Commission,or atsuchshorterintervalsasseem to Sellerdesirable.If Buyerisdissatisfiewd iththeaccuracyat anytime, itmaycall uponSeller tohavethe metertestedinaccordance with allregulationsrelatingtosuchtestsandresultsof suchtestsas foundinthecurrentRulesandRegulationsgoverninggas systemsissuedbythe Commission. 10. Eachparty shallpreserveallrecordsfor a periodof at leasttwo(2) years.
