Orificemeter installations,if used,shallconformtothe shallconformto the recommendationfor designandinstallatiocnontainedin designand installationcontainedin theGas MeasurementCommitteRe eportNoMeasurementCommitteeReportNo. 3 tothe AmericanGas AssociationpublishedApril,1955,andanymodificationsandamendmentsthereofandshallindudethe useof to the AmericanGasAssociation publishedApril, 1955,and anymodificationsand amendmentsthereofandshallincludetheuse of flange connections. 8. Measurementon Sellers meteror metersshallbe conclusiveof both parties exceptwherethe meteris defectiveor fails to register, or iffound inerror, in eitherof whichcaseSeller shall repair or replacethe meterendthequanfityof gasdeliveredwhilethe meter wasout of orderorfailedto registershall be estimated: (a) Byusingthe registrationof anycheckmeter if installed and accuratelyregistering,or, in theabsenceof (a): (b) By correcting the errorif the percentageof error by calibration, test ormathematicalcalculationo, r, intheabsence of both (a) and (b)then: (c) Byestimatingthequantityof deliveryfrom deliveries during periodsundersimilarconditionswhen the meterwas registeringaccurately;andan appropdatebilling adjustmentshall be madein accordancewiththe current Rules and Regulationsgoverninggassystemsissuedbythe Commission. 9. Seller willmaintainits metersin goodorderandto this end willmake periodic testsof its meterspursuantto thecurrent Rules and Regulationsgoverninggassystemsissued by the Commission,orat suchshorterintervalsas seemto Seller desirable. Measurement on Seller's meter or meters shall be conclusive of both parties except where the meter is defective or fails to register, or if found in error, in either of which case Seller shall repair or replace the meter and the quantity of gas delivered while the meter was out of order or failed to register shall be estimated: (a) By using the registration of any check meter if installed and accurately registering, or, in the absence of (a): (b) By correcting the error if the percentage of error is ascertainable by calibration, test or mathematical calculation, or, in the absence of both (a) and (b) then: (c) By estimating the quantity of delivery from deliveries during periods under similar conditions when the meter was registering accurately; and an appropriate billing adjustment shall be made in accordance with the current Rules and Regulations governing gas systems issued by the Commission. 9. Seller will maintain its meters in good order and to this end will make periodic tests of its meters pursuant to the current Rules and Regulations governing gas systems issued by the Commission, or at such shorter intervals as seem to Seller desirable. If Buyer is dissatisfied with the accuracy at any time, it may call upon Seller to have the meter tested in accordance with all regulations relating to such tests and results of such tests as found in the current Rules and Regulations governing gas systems issued by the Commission. 10. Each party shall preserve all records for a period of at least two (2) years.

BuyeragreestofurnishtoSellerelectddtyfor operatingSeller'smeters,Buyeragreesto furnishto Sellerelectricityfor operating Seller's meters, at notcostto notcost to Seller. 3. BuyeragreestochangethechartsonSeller'smetersat nocostto Sellerandforwardsameto Buyeragreesto changethe chartson Seller'smeters at no cost to Sellerand forwardsameto Seller. 4. BuyerherebygrantstoSellersuitablerighteBuyerherebygrantsto Sellersuitable rights-of-waayndeasementsnecessaryor inddentsflor the installationm, aintenance, operationandremovaol f pipelineandotherfacilities togetherwithfights ofingrestheretoandegressthere xxxxxx easementsnecessaryor incidentalforthe installation,maintenance,operationand removalof pipelineand other facilities togetherwith rightsof ingresstheretoand egressthere from at alltimesandherebyagreestodelivertoSeller,all times and herebyagreesto deliverto Seller, for thesum ofonedollar($1.00),an appropriatienstrumenot r grant defining suchfights andeasementslocatedonBuyer'splantsitethe sumof one dollar ($1.00),an appropriateinstrument orgrant definingsuch rights andeasementslocatedon Buyer's plant site. 5. Buyermay installmBuyer mayinstall,maintainandoperatesuch check measuring equipment,includinga recordinggravitometerand calorimeteras it shalldesire, aintainandoperatesuchcheck measuring equipmenti,ncludinga recordingravitometearndcalorimeteras itshalldesire,providedthatsuchequipmenst hallbeso providedthatsuch equipment shall be so installedso as not to interferweiththeoperationofSeller'smeasuringequipmenatt interferewiththe operationof Seller's measuringequipmentat or nearthe pointof deliver.. However,all billingstothe Buyershallbebasedonthe meteringof billingsto the Buyershall be based on the metering of the Seller,subjectonlytotheprovisionosfParagraph8 , subjectonly to the provisionsof Paragraph8 of this Article. 6. AllinstallationofmeasurinegquipmentAll installationof measuringequipment,applyingto oreffectingdeliverieshereunders, hallbe madeinsuchmanneras topermitanaccuratedeterminatioonfthe or effecting deliverieshereunder,shall be madein such manneras to permitan accuratedeterminationof the quantityof gasdelivered andready gas delivered and ready verificatioonfthe accuracyofmeesuremenLOrificemeter installationsitaccuracyof measurement Orifice meter installationsif,used,shallconformtothe , shallconformto the recommendationfor designandinstallatiocnontainedin theGas MeasurementCommitteRe eportNo. 3 tothe AmericanGas AssociationpublishedApril,1955,andanymodificationsandamendmentsthereofandshallindudethe designand installationcontained in the Gas MeasurementCommitteeReportNo.3 to the American Gas AssociationpublishedApril, 1955,and anymodifications and amendmentsthereofand shallincludethe useof flange connections. 8. MeasurementonSeller'smeter ormeters shallbe conclusive of both partiesexceptWherethe meterisdefectiveor failsto registero, r if found inerror,ineitherofwhichcase Sellershall repair or replacethemeterandthequantityof gas deliveredwhilethe meterwas outoforderorfailedto registershallbeestimated(:a) Byusingtheregistratioonf anycheckmeter if installed andaccuratelyregisteringo,r, in the absenceof(a): (b) Bycorrectingthe errorifthepercentageof errorby calibration,test or mathematicaclalculation,or, in the absenceof both (a) and(b) then:(c)Byestimatingthequantityof deliveryfrom deliveriesduringperiods undersimilarconditionswhenthe meterwas registeringaccuratelya;nd anappropriatebilling adjustmensthallbe madeinaccordancewiththecurrent Rules andRegulationgsoverninggassystemsissuedby the Commission. 9. Seller wilemaintainitsmetersin goodorderandto this endwillmakeperiodictestsof itsmeters pursuanto the currentRulesandRegulationgsoverningassystemsissuedby the Commission,or atsuchshorterintervalsasseem to Sellerdesirable.If Buyerisdissatisfiewd iththeaccuracyat anytime, itmaycall uponSeller tohavethe metertestedinaccordance with allregulationsrelatingtosuchtestsandresultsof suchtestsas foundinthecurrentRulesandRegulationsgoverninggas systemsissuedbythe Commission. 10. Eachparty shallpreserveallrecordsfor a periodof at leasttwo(2) years.
