MetaPricer. For each MetaPricer Query submitted, Amadeus will endeavour to return as many low fare air travel information results as possible; provided that Subscriber acknowledges that the maximum number of itineraries returned in response to a particular MetaPricer Query shall be [ ]* and the maximum number of airlines listed in such results shall be [ ]* airlines. This information will include airline code, departure time, airport code, arrival time, code share information, equipment type, fare availability, flight duration, base prices, applicable taxes and fees, and any other information required by law to be displayed to users or mutually agreed to between the Parties. The list of itineraries and fares returned by MetaPricer will be computed by Amadeus in order to return the itineraries that are identical to the itineraries returned individually * CONFIDENTIAL TREATMENT REQUESTED. Amadeus will monitor the accuracy of the data returned by MetaPricer Queries and Subscriber shall have the right to use such data to benchmark Amadeus’s accuracy against competitors and Provider websites. At a regular interval period of time, Amadeus and Subscriber will meet to review and assess the quality of the data provided and discuss potential improvements. For each six month period of the Agreement beginning with the Effective Date, Amadeus shall allow Subscriber to conduct a number of queries per second based on the volume projections provided by Subscriber at the beginning of each such f six (6) month period. Subscriber’s access will be limited to the numbers that it has provided. However, if Subscriber determines that it needs or wants a higher query per second ratio, it can submit a revised projection to Amadeus. Amadeus agrees to accommodate any such revised projection unless it can demonstrate to Subscriber that a higher query per second ratio would result in a greater than [ ]* increase in volume, in which case the parties will agree in good faith upon a timeframe within which to accommodate the increase in volume.

  • End User This agreement shall bind the ordering activity as end user but shall not operate to bind a Government employee or person acting on behalf of the Government in his or her personal capacity.

  • AMD AMD shall keep records in sufficient detail to enable FoundryCo to determine that AMD has complied with its second sourcing limitations in Section 2.1(b) and its GPU Product volume sourcing commitments in Section 2.1(c). AMD shall permit said records to be inspected, at FoundryCo’s expense, upon reasonable advance notice, during regular business hours by an independent auditor selected by FoundryCo and approved by AMD, which approval shall not be unreasonably withheld. The audit shall be for the purpose of verifying that AMD has complied with its second source restrictions in Section 2.1(b) and its GPU Product sourcing commitments in Section 2.1(c). Inspections conducted under this Section 8.1(b) shall be at FoundryCo’s expense, unless AMD has a non-compliance variance adverse to FoundryCo of [****] percent ([****]%) or more of (i) the relevant [****] percent ([****]%) second source restriction or (ii) the GPU Minimum Percentage for the applicable audited period, in which case AMD shall bear the reasonable expenses of such audit.

  • API If the Software offers integration capabilities via an API, your use of the API may be subject to additional costs or Sage specific policies and terms and conditions (which shall prevail in relation to your use of the API). You may not access or use the API in any way that could cause damage to us or the Software, or in contravention of any applicable laws. We reserve the right in our sole discretion, to: (i) update any API from time to time; (ii) place limitations around your use of any API; and (iii) deny you access to any API in the event of misuse by you or to otherwise protect our legitimate interests.

  • Wholesaler Also referred to as Vendor, Pharmaceutical Prime Vendor, or Prime Vendor, is a business that functions as a purchaser’s source of distribution for a wide array of pharmaceutical and related Products as identified by the MMCAP Infuse Participating Facility. A Wholesaler is responsible for maintaining and distributing an Adequate Supply of pharmaceuticals and related Products and any other items contracted for that are dispensed through the MMCAP Infuse Participating Facilities’ pharmacy service.
