Minimizing Interruptions and Resolving Conflicts. Taking into account any planned outages of the SWSP, the Parties agree to schedule any maintenance activities that could interfere with either party’s ability to take delivery of water from the Terminal Storage Reservoir, so as to minimize the impact to their respective operations. If the Parties cannot agree on the activities that constitute Reasonably Required Reservoir Maintenance, Repair, and Replacement Activities or the method or timeframe for their completion, the Parties shall, within 14 days, select a consulting engineer with expertise in the field of dam and reservoir operation and maintenance to determine whether the activities in question meet the definition of Reasonably Required Reservoir Maintenance, Repair, and Replacement Activities or, as necessary, to determine the methods or timeframes for completion of the same to meet the criteria set forth in Section 1.12 (inclusive of subsections). Or if the Parties cannot mutually agree on a consulting engineer, each Party shall have 14 days to select its own consulting engineer, and the Parties’ consulting engineers shall meet within 14 days and select a third, neutral, qualified consulting engineer to make the determinations required in the previous sentence. The Parties shall be responsible for any costs incurred by their consulting engineer and shall split equally the cost of the consulting engineer agreed upon by the Parties or the Parties’ respective engineers pursuant to this Section.

  • Adverse Operating Effects The NYISO or Connecting Transmission Owner shall notify the Interconnection Customer as soon as practicable if, based on Good Utility Practice, operation of the Small Generating Facility may cause disruption or deterioration of service to other customers served from the same electric system, or if operating the Small Generating Facility could cause damage to the New York State Transmission System, the Distribution System or Affected Systems, or if disconnection is otherwise required under Applicable Reliability Standards or the ISO OATT. Supporting documentation used to reach the decision to disconnect shall be provided to the Interconnection Customer upon request. If, after notice, the Interconnection Customer fails to remedy the adverse operating effect within a reasonable time, the NYISO or Connecting Transmission Owner may disconnect the Small Generating Facility. The NYISO or Connecting Transmission Owner shall provide the Interconnection Customer with five Business Day notice of such disconnection, unless the provisions of article 3.4.1 apply.

  • Financial Consequences for Nonperformance The State reserves the right to withhold payment or implement other appropriate remedies, such as contract termination or nonrenewal, when the Contractor has failed to perform under or comply with the provisions of this contract. When or if the Contractor fails to perform or comply with provisions of this contract, the Contractor has ten (10) calendar days from receipt of Complaint to Vendor Form (PUR 7017) to comply as instructed within the notice. An amount of $500.00 may be assessed for each day the Contractor is delinquent after the ten (10) day notice period ends, and that amount may be withheld from a Contractor’s invoice. The rights and remedies of the State in this paragraph are not considered penalties and are in addition to any other rights and remedies provided by law.

  • PROCEDURES FOR ADDRESSING UNAUTHORIZED TRANSACTIONS AND OTHER TRANSACTION PROBLEMS In the event of a problem with a Debit Card transaction, or unauthorized Debit Card transaction, other than a matter related to goods or services provided by Merchants, I will report the issue promptly to my Credit Union and the Credit Union will investigate and respond to the issue on a timely basis. My Credit Union will not unreasonably restrict me from the use of any funds subject to dispute, if it is reasonably evident that I did not contribute to the problem or unauthorized transaction. My Credit Union will respond to my report of a problem or unauthorized transaction within 10 business days and will indicate what reimbursement, if any, will be made for any loss incurred by me. Reimbursement will be made for losses from a problem or unauthorized use in this time frame if it is evident that I did not contribute knowingly to the problem or unauthorized transaction and that I took reasonable steps to protect the confidentiality of my PIN or Passcode. An extension of the 10-day limit may be necessary if my Credit Union requires me to provide a written statement or affidavit to aid its investigation.
