Miscellaneous Prorations. Without duplication of, and to the extent not addressed by Sections 8.1, 8.2 and 8.3, all other items that are customarily subject to proration and adjustment, including without limitation, “Base Rent”, shall be prorated as of the Closing Date, it being agreed that for purposes of prorations and adjustments, Purchaser shall be deemed the owner of the Membership Interests on the Closing Date.

Miscellaneous Prorations. Such other items as are usually and customarily prorated between Buyers and Sellers of golf course properties in the area in which the Property is located shall be prorated as of the Closing Date.
