Mutual Non-Disparagement Agreement. From and after the termination date of employment or service to the Company, neither Grantee nor Company will disparage the other party or any of Grantee’s or Company’s clients, directors, officers, employees, shareholders or business operations.
Mutual Non-Disparagement Agreement. From and after the Effective Date, neither Consultant nor Company will disparage the other party or any of his or its clients, directors, officers, employees, shareholders or business operations.
Mutual Non-Disparagement Agreement. The Company, its officers and directors will not make, and the Company shall use reasonable efforts to cause its agents, advisors, including Cxxx Xxxxx Advisory Group LLC (“CMAG”), and attorneys to refrain from making, any disparaging statements about you, your employment with the Company, your resignation, the termination of your employment, or any other dealings of any kind between you and the Company, to any third party, specifically Sxxxxx X. Xxxxxxx August 3, 2008 including, without limitation, any past, present or prospective employee of the Company, any customer or prospective customer of the Company, any prospective employer of you, or any representative of any media. You agree that you will not make any disparaging statements about the Company, its agents, officers, directors, advisors, including CMAG, and attorneys to any third party, specifically including, without limitation, any past, present or prospective employee of the Company, any customer or prospective customer of the Company, any supplier or vendor or prospective supplier or vendor of the Company, any prospective purchaser of the Company or any of its assets, or any representative of any media. This paragraph shall not apply to truthful communications between you and your spouse, immediate family and attorneys and advisors on the one hand and between the Company and its attorneys and advisors on the other hand, any truthful disclosure or statement relating to any proceeding to enforce the terms of this Letter Agreement, or as expressly authorized by law or lawful process or proceeding. The terms of this paragraph shall be referred to as the “Mutual Non-Disparagement Agreement.”
Mutual Non-Disparagement Agreement. Xxxxx agrees that he will not disparage or defame Ancor and/or its current or former Directors and Officers. Ancor's current Directors and Officers agree that they will not disparage or defame Xxxxx.
Mutual Non-Disparagement Agreement. Subject to Section 4(c) and except as otherwise required by law, Employee will refrain from directly or indirectly making any comment, engaging in publicity, or taking any other action that reflects adversely upon Company or any other of the Released Parties. The Parties acknowledge and agree that this Section 8 is a material provision of this Agreement, and that any breach of this Section 8 shall be a material breach of this Agreement. The parties acknowledge and agree that this Section 8 of the Agreement shall be in addition to, and shall not be considered or construed as superseding or in conflict with, any other obligation, whether contractual or otherwise, that Employee owes or may owe to the Company. The Company agrees to refrain from, directly or indirectly, making any comment, engaging in publicity that reflects adversely on Employee.
