Mutual Releases and Covenant Not to Xxx. 7.1 Excepting only the rights and obligations created by or preserved by this Agreement and those claims, rights and obligations transferred to the Title Companies by the Assignment, effective upon closing of Escrow, Contractor unconditionally releases, acquits and forever discharges MRID, LCPI, Gramercy, Square Mile, the First Lien Lenders, the Second Lien Lenders, the Third Lien Lenders, the Trustee/Liquidating Trustee, the Liquidating Trust, Owner and Owner's bankruptcy estate, the Title Companies and the Property of and from, and covenants not to assert against or xxx, directly or indirectly, any of them on or for, any and all claims, complaints, charges, liabilities, liens, obligations, promises, agreements, controversies, damages, actions, causes of action, suits, rights, demands, costs, losses, debts and expenses (including attorneys’ fees and costs) of whatsoever kind or nature, arising in law, equity or otherwise under the law of any jurisdiction, known or unknown, foreseen or unforeseen, hidden or concealed, which it has, had or may hereafter have based on any fact, matter, cause, thing, transaction or event, including but not limited to any matter or thing that has been alleged or could have been alleged in the State Court Action or the Bankruptcy Action or both (collectively “Contractor-Released Claims”). Without limiting the forgoing releases, and except for those claims assigned by the Assignment, the Contractor unconditionally releases all Claims for Mechanic's Liens against the Property.

Mutual Releases and Covenant Not to Xxx. 3.1 Except for such obligations, rights or claims as may be created by, contingent upon or arise from the terms and conditions of this Agreement, each and every Investor, on behalf of itself and each of its agents, brokers, legatees, devisees, executors, trustees, beneficiaries, affiliates, administrators, successors in interest, predecessors in interest, assigns, corporations, partners, entities, attorneys, directors, officers, employees, insurers, and representatives (collectively, the “Investor Releasors”), hereby releases and forever discharges the Company, and each of its agents, brokers, affiliates, successors in interest, predecessors in interest, assigns, attorneys, directors, officers, employees, insurers, and representatives (collectively, the “Company Releasees”), and each of them, separately and collectively, from any and all claims, losses, liens, demands, causes of action, obligations, damages and liabilities of any kind or nature (collectively, the “Claims”), that relate to any time up to and including the Effective Date, whether known or unknown, that the Investor Releasors have, had in the past, or may have in the future, against the Company Releasees, or any of them, of any type whatsoever, including but not limited to Claims arising out of, in connection with, or relating to, the Subscription Agreement, the Offering or the Potential Dispute.
Mutual Releases and Covenant Not to Xxx. Subject to compliance with the terms of this Agreement and in consideration of the payments, lease undertakings, and other obligations assumed herein and the termination of services as provided herein, the parties hereto, including the Employees, for themselves, their affiliates, their successors, assigns, officers, directors, and agents, do hereby release each other and their respective affiliates, officers, directors, successors, assigns and agents, (and specifically also any of the Former Bulldog Employees who terminated his/her relationship with Bulldog and transitioned to an employment relationship with Goliath), from any claims of any kind or causes of action, known or unknown, and relating to any business dealings between Goliath and Bulldog and/or relating to any employment issues between Bulldog, the Former Bulldog Employees and their hiring by Goliath, except as otherwise provided herein. It is the intent of the parties that the foregoing mutual release be construed so broadly as to preclude any possible claim or cause of action of one party against the other or against the Former Bulldog Employees, except as otherwise provided herein, for any reason whatsoever occurring prior to the date hereof. Subject to Bulldog's continuing obligation under Paragraph 7 and except as otherwise provided herein, the parties covenant not to xxx each other or any of the Former Bulldog Employees for any claims, known or unknown, relating to their past business relationship or any of the Former Bulldog Employee's termination of employment and their hiring by Goliath. The parties hereto agree that this Paragraph 7 does not release any of the Former Bulldog Employees from and does not prevent Bulldog from suing any of the Former Bulldog Employees for any breach of (i) any of their obligations set forth in those certain Confidentiality and Proprietary Rights Agreements entered into between Bulldog and each of the Former Bulldog Employees, or (ii) if there is a prohibition from soliciting any of Bulldog’s customers or Employees in an Employment Agreement entered into between Bulldog and any of the Former Bulldog Employees, the obligation not to solicit any of Bulldog’s customers or Employees.

(“the Xxxxxx Parties”) on behalf of each of themselves and their respective heirs, executors, administrators, and assigns, hereby forever release, discharge, cancel, waive, and acquit Meritage and its subsidiaries, affiliates, agents, officers, owners, directors, employees, insurers, and assigns, of and from any and all rights, claims, demands, causes of action, obligations, damages, penalties, fees, costs, expenses, and liabilities of any nature whatsoever, whether in law or equity (collectively, “Claims”), which the Xxxxxx Parties have, had, or may hereafter have against Meritage arising out of, or by reason of, any cause or matter, existing as of the date of execution of this Agreement, WHETHER KNOWN TO THE XXXXXX PARTIES AT THE TIME OF EXECUTION OF THIS AGREEMENT OR NOT, that relate to matters occurring since the date of the 2006 Settlement Agreement, including, without limitation, the matters subject to the Arbitration. This release shall not apply to (i) any breaches by Meritage of this Agreement or the Existing Agreements (as modified hereby) arising from events or occurrences on or after the date this Agreement (ii) any vested amounts in Xxxxxx’x 401(k) account or (iii) any right to indemnification, advancement of expenses, limitation of liability or exculpation of liability to the extent provided under or arising from the Articles of Incorporation or Bylaws of Meritage or under any insurance policy maintained by Meritage benefiting Xxxxxx with respect to his service as an officer, employee, or director of Meritage.

From and after the Closing, each Releasing Person hereby irrevocably covenants to refrain from, directly or indirectly, asserting any Action, or commencing or causing to be commenced, any Action of any kind against the Target Companies or their respective Affiliates, based upon any matter purported to be released hereby. Each party hereby warrants that it or he has not assigned or transferred to any person any portion of any claim which is released, waived and discharged above. The Executive further warrants that except as he has reported to the Company before the Separation Date, he has not experienced any illness, injury, or disability compensable or recoverable under the worker’s compensation laws of any state. The Executive further represents and warrants that he has been given at least 21 days to review and consider his rights and obligations under this Agreement (although he may voluntarily choose to sign this Agreement earlier) and he may revoke this Agreement within the seven (7) day period following his execution of this Agreement. Each party specifically represents that it or he has had a full and fair opportunity to consult with counsel of its or his own choosing concerning the agreements, representations, and declarations set forth in this Agreement. Each party understands and agrees that by signing this Agreement it or he is giving up its or his right to bring any legal claim against the other party concerning, directly or indirectly, the Executive’s employment relationship with the Company, including the Executive’s separation from employment. Each party agrees that this legal release is intended to be interpreted in the broadest possible manner in favor of the other party, to include all actual or potential legal claims that one party may have against the other, except as specifically provided otherwise in this Agreement. Notwithstanding any other provision of this Agreement, this release shall not waive or in any way limit or otherwise affect the Executive’s rights, if any, to indemnification and/or defense in connection with any claim that may be asserted against the Executive as a consequence of his employment with the Executive, whether such rights arise under the Company’s articles of incorporation, bylaws, insurance contracts or otherwise. Specifically, the Company shall indemnify and hold the Executive harmless, to the fullest extent permitted by applicable law as it presently exists or may hereafter be amended, in the event the Executive was or is made or is threatened to be made a party or is otherwise involved in any action, suit or proceeding, whether civil, criminal, administrative or investigative (a “proceeding”) by reason of the fact that he, or a person for whom he is the legal representative, is or was a director, officer, employee or agent of the Company or is or was serving at the request of the Company as a director, officer, employee or agent of another corporation or of a partnership, joint venture, trust, enterprise or non-profit entity, including service with respect to employee benefit plans, against all liability and loss suffered and expenses reasonably incurred by such person.

  • Covenant Not to Xxx Each Party hereby covenants and agrees that none of it, the members of such Party’s Group or any Person claiming through it shall bring suit or otherwise assert any claim against any Indemnitee, or assert a defense against any claim asserted by any Indemnitee, before any court, arbitrator, mediator or administrative agency anywhere in the world, alleging that: (a) the assumption of any Varex Liabilities by Varex or a member of the Varex Group on the terms and conditions set forth in this Agreement and the Ancillary Agreements is void or unenforceable for any reason; (b) the retention of any Parent Liabilities by Parent or a member of the Parent Group on the terms and conditions set forth in this Agreement and the Ancillary Agreements is void or unenforceable for any reason; or (c) the provisions of this Article IV are void or unenforceable for any reason.

  • Limited Covenant Not to Compete During the Employment Term and for a period of two years thereafter, commencing with the Date of Termination, Employee agrees that, with respect to each State of the United States or other jurisdiction, or specified portions thereof, in which the Employee regularly (a) makes contact with customers of the Company or any of its subsidiaries, (b) conducts the business of the Company or any of its subsidiaries or (c) supervises the activities of other employees of the Company or any of its subsidiaries, as identified in Appendix B attached hereto and forming a part of this Agreement, and in which the Company or any of its subsidiaries engages in the Death Care Business on the Date of Termination (collectively, the "Subject Areas"), Employee will restrict his activities within the Subject Areas as follows:

Such claims, obligations, or liabilities include, but are not limited to: claims for compensation allegedly due or owing; claims sounding in contract or implied contract; claims for wrongful dismissal; claims sounding in tort; claims arising under common law, civil law, equity, or federal, state, or local statutes or ordinances, including but not limited to, the Age Discrimination in Employment Act, as amended; Title VII of the Civil Rights Act of 1964, as amended; the Civil Rights Act of 1991; Section 1981 of the Civil Rights Act of 1866; the Equal Pay Act; the Americans with Disabilities Act and/or the Rehabilitation Act of 1973; the Employee Retirement Income Security Act; the WARN Act; the Consolidated Omnibus Budget Reconciliation Act; the Family Medical Leave Act, as amended; the Genetic Information Nondiscrimination Act of 2008; state statutes governing the payment of wages, discrimination in the workplace, or any other statute or laws governing the employer-employee relationship, including but not limited to, the New York State Human Rights Law, the New York Labor Law, the New York State Constitution, the New York Civil Rights Law, the New York wage-hour laws, the New York City Human Rights Law; the Virginia Human Rights Act; the North Carolina Equal Employment Practices Act, the North Carolina Persons with Disabilities Protection Act, the North Carolina Retaliatory Employment Discrimination Act, the North Carolina Wage & Hour Act; any other claim pursuant to any other federal, state or local employment laws, statutes, standards or human rights legislation; or any claim for severance pay, notice, pay in lieu of notice, salary, bonus, incentive or additional compensation, vacation pay, insurance, other benefits, interest, and/or attorney’s fees. You acknowledge that this general release is not made in connection with any exit incentive or other employment termination program offered to a group or class of employees. Notwithstanding the foregoing, nothing in this Agreement waives your right to (a) pursue a claim that cannot be released by private agreement, including, workers compensation claims, claims arising after the date on which you sign this Agreement, and your right to file administrative charges with certain government agencies; and (b) challenge the Company’s failure to comply with its obligation in Paragraph 1 above.
