Nature of Information. Consultant understands that the Company possesses and will possess Proprietary Information which is important to its business. Consultant understands that Consultant’s engagement creates a relationship of confidence and trust between the Company and Consultant with respect to Proprietary Information.

Employee understands that Employee’s engagement creates a relationship of confidence and trust between the Company and Employee with respect to Proprietary Information.
Nature of Information. PROSPECTIVE BUYER hereby accepts COMPANY’s representations that the Confidential Information is of a special, unique, unusual, extraordinary, and intellectual character and that money damages would not be a sufficient remedy for any breach of this Agreement by it or its representatives and that specific performance and injunctive or other equitable remedies for any such breach shall be available to it. PROSPECTIVE BUYER also acknowledges that COMPANY’s interests in such Confidential Information may be irreparably injured by disclosure of such Confidential Information. The remedy stated above may be pursued in addition to any other remedies applicable at law or equity for breach of this Agreement. Should litigation be instituted to enforce any provision hereof, the prevailing party will be entitled to recover all costs, including reasonable legal fees, cost of investigation and cost of settlement.
Nature of Information. (a) The Parties each hereby acknowledge that the Confidential Information of the other Party is of a special, unique, unusual, extraordinary, and intellectual character and that money damages would not be a sufficient remedy for any breach of this Agreement by it or its representatives and that specific performance and injunctive or other equitable remedies for any such breach shall be available to the other Party.
(b) The Parties further acknowledge that the interests of the other Party in such Confidential Information may be irreparably injured by disclosure of such Confidential Information. The remedy stated above may be pursued in addition to any other remedies applicable at law or equity for breach of this Agreement; provided, however, that in no event shall either party be liable to any other party under this Agreement in contract, tort, including negligence, or otherwise for or in respect of any special, punitive, exemplary, indirect or consequential loss or damage.
(c) Although the Confidential Information contains information which the Disclosing Party believes to be relevant for the purpose of the Receiving Party's evaluation of the Transaction, each Party acknowledges that the Disclosing Party does not make any representation or warranty as to the accuracy or completeness of the Confidential Information. Neither the Disclosing Party nor its Representatives, their affiliates, nor any of their respective officers, directors, managers, members, employees, agents, or controlling persons within the meaning of Section 20 of the Securities Exchange Act of 1934, as amended, shall have any liability to the Receiving Party or any of its Representatives relating to or arising from the use of the Confidential Information.
Nature of Information. The Services are not intended to provide legal, tax or financial advice. The Services are provided as strictly educational in nature and are provided with the understanding that neither HSFCU nor our Service providers are engaged in rendering accounting, investment, tax, legal, or other professional services. If any such services are desired, the services of a competent professional person should be sought. HSFCU and our Service providers specifically disclaim any liability, loss, or risk which is incurred as consequence, directly or indirectly, of the use and application of any of the content on this site. Further, HSFCU and our Service providers are not responsible for any investment or other decisions or any damages or other losses resulting from decisions that arise in any way from the use of Services or any materials or information accessible through it.

Contractor acknowledges and agrees that the Confidential Information protected by this NDA Agreement is of a special, unique, unusual, extraordinary and intellectual character; that money damages would not be sufficient to avoid or compensate for the unauthorized use or disclosure of the Confidential Information; and, that specific performance, injunctive relief, and other equitable relief would be appropriate to prevent any actual or threatened use or disclosure of the Confidential Information. Contractor also acknowledges that the interests of Company in and to its Confidential Information may be irreparably injured by disclosure of such Confidential Information. The remedy stated above may be pursued in addition to any other remedies available at law or in equity for breach of this NDA Agreement, and Contractor agrees to waive any requirement for the securing or posting of any bond in connection with such remedy. Should litigation be instituted to enforce any provision hereof, the prevailing party will be entitled to recover all costs, including, without limitation, reasonable legal fees, cost of investigation and cost of settlement.
Nature of Information. The Customer has been advised and acknowledges that the Internet may contain information, materials, and language that may be deemed adult in nature and inappropriate or offensive. The Customer is responsible for all information received, transmitted, and/or stored by the Customer and the Customer releases TEKFINITY,LLC from and agrees to indemnify TEKFINITY,LLC its officers, directors, agents and employees against any and all claims, losses or expenses relating to such information, materials and language. This indemnification shall survive any termination of this Agreement.
Nature of Information. Rev.1 acknowledges that the Company possesses and will possess Proprietary Information which is important to its business. Rev.1 further acknowledges that Rev.1’s engagement creates a relationship of confidence and trust between the Company and Rev.1 with respect to Proprietary Information.
Nature of Information. Any information provided to the Stockholders (through the Stockholder Representative or otherwise) pursuant to this Section 2 shall be subject to the non-disclosure agreement, dated as of June 9, 2010, by and among the Company and NW Fund (the “Confidentiality Agreement”), and each Stockholder agrees to abide by the terms of the Confidentiality Agreement with respect to such information. Each Stockholder further acknowledges and agrees that such Stockholder and its Affiliates and Associates are aware that the information provided to the Stockholders (through the Stockholder Representative or otherwise) pursuant to this Section 2, including, without limitation, the Monthly Reports and the Year-End Report, may contain material, non-public information about the Company, and such Stockholder hereby acknowledges and agrees that such Stockholder and its Affiliates and Associates may not purchase or sell any securities of the Company while in possession of such information.
Nature of Information. Merlin acknowledges that the Company possesses and will possess Proprietary Information which is important to its business. Merlin further acknowledges that Merlin’s engagement creates a relationship of confidence and trust between the Company and Merlin with respect to Proprietary Information.
