New Service Locations. If Supplier requests Chordiant’s approval to provide Services from a location other than a location described in Section 10.1, Supplier shall provide to Chordiant a written relocation proposal that sets forth a description of the proposed new location, the reasons for the proposed relocation, how the relocation will be beneficial to Chordiant in terms of performance and other relevant measures, as well as any other information requested by Chordiant. Supplier shall specify in the relocation proposal the amount of Supplier’s cost reductions resulting from the relocation that Supplier will pass-through to Chordiant in the form of reduced Fees. Chordiant may, in its sole discretion, approve or reject any proposal submitted by Supplier pursuant to this Section 10.2; provided, however, that Supplier shall have the right, without Chordiant’s approval, to change or add a Supplier Service Location within [ * ], upon reasonable advance notice to Chordiant, and provided that such change or addition does not have an adverse impact on Chordiant. Any incremental expenses incurred by Chordiant as a result of a relocation to, or use of, any location other than the locations described in Section 10.1 shall be paid by Supplier or reimbursed to Chordiant by Supplier.

New Service Locations. If Supplier intends to provide Services from locations other than the locations from which Supplier provides the Services as of the Effective Date, Supplier shall provide written notice of such new service location to Hawaiian Telcom, which notice shall include a description of any effect the change in location, or additional location, will have on the Services or on Hawaiian Telcom. In no event shall any change in service locations or additional service locations result in an increase in the Charges or a reduction in Service Levels or cause Hawaiian Telcom to incur any additional expense. Supplier shall be responsible for any incremental Hawaiian Telcom cost or expense related to any change in, or additional, supplier locations, including any additional taxes that result from Supplier’s relocating or rerouting the delivery of Products or Services to, from, or through a new location.
New Service Locations. If Supplier requests Michaels’ approval to provide Services from a location other than a location described in Section 11.1, Supplier shall provide to Michaels a written relocation proposal that sets forth a description of the proposed new location, the reasons for the proposed relocation, how the relocation will be beneficial to Michaels in terms of performance and other relevant measures, as well as any other information requested by Michaels. Supplier shall specify in the relocation proposal the amount of Supplier’s cost reductions, if any, resulting from the relocation that Supplier will pass-through to Michaels in the form of reduced Fees. Michaels may, in its sole discretion but acting in good faith, approve or reject any proposal submitted by Supplier pursuant to this Section 11.2. Any incremental costs incurred by Michaels as a result of a relocation requested by Supplier to any location other than the locations described in Section 11.1 shall be paid by Supplier or reimbursed to Michaels by Supplier unless otherwise agreed by the Parties. If for reasons other than Supplier’s breach, Michaels requires Supplier to relocate from an existing Michaels Service Location to another Service Location, Michaels shall pay Supplier any reasonable costs of that relocation and any incremental costs to Services resulting from such relocation, in each case as agreed by the Parties in advance. If for reasons other than Supplier’s breach, Michaels requires Supplier to relocate from an existing Supplier Service Location to another Service Location, such relocation shall be addressed through the Change Management Process.

  • Service Locations X.X. Xxxxxx maintains various operational/service centers and locations in the United States and foreign jurisdictions. The services provided under this Agreement may be provided from one or more such locations. X.X. Xxxxxx may change the operational/service centers and locations as it deems necessary or appropriate for its business concerns.

  • New Services (a) From time to time during the term of this Agreement, either Party may request the other Party to provide additional or different services which such other Party is not expressly obligated to provide under this Agreement (excluding, for the avoidance of doubt, any Additional Services or Service Increases, the “New Services”).   • Service Area The municipalities and counties in and around which Seller operates or is authorized to operate the Systems and the Business, which are disclosed on Schedule 1.39.
