Ninety Day Discontinuance of Service Upon Termination. In the event 21 that the Agreement is terminated, it is understood and agreed by the CITY and the 22 CONTRACTOR herein that the CITY shall have the right to require the CONTRACTOR to 23 continue its services, as set forth in this Agreement for a period not to exceed three (3) months 24 as specified in Section 3.7 and said CONTRACTOR shall be paid for services during the time at 25 the rates specified in this Agreement; it being further understood and agreed that the 26 continuance of the services by the CONTRACTOR after a termination of the Agreement by the 27 CITY for the aforesaid period of sixty (60) days does not in any way waive the termination of this 28 Agreement.

  • Procedure Upon Termination In the event of termination by Buyer or Seller, as applicable, pursuant to Section 6.1 hereof, written notice thereof shall forthwith be given to the other party and the transactions contemplated by this Agreement shall be terminated without further action by Buyer or Seller.
