Recovery upon Termination. H6.1 On the termination of the Contract for any reason, the Contractor shall at its cost:
(a) immediately return to the Authority all Confidential Information, Personal Data and IP Materials in its possession or in the possession or under the control of any permitted suppliers or Sub-Contractors, which was obtained or produced in the course of providing the Services;
(b) immediately deliver to the Authority all Property (including materials, documents, information and access keys) provided to the Contractor. Such property shall be handed back in good working order (allowance shall be made for reasonable wear and tear);
(c) assist and co-operate with the Authority to ensure an orderly transition of the provision of the Services to the Replacement Contractor and/or the completion of any work in progress; and
(d) promptly provide all information concerning the provision of the Services which may reasonably be requested by the Authority for the purposes of adequately understanding the manner in which the Services have been provided and/or for the purpose of allowing the Authority and/or the Replacement Contractor to conduct due diligence.
H6.2 If the Contractor fails to comply with clause H6.1(a) and (b), the Authority may recover possession thereof and the Contractor grants a licence to the Authority or its appointed agents to enter (for the purposes of such recovery) any premises of the Contractor or its permitted suppliers or Sub-Contractors where any such items may be held.
H7.1 Within twenty-one (21) days of being so requested by the Authority, the Contractor shall provide, and thereafter keep updated, in a fully indexed and catalogued format, all the information necessary to enable the Authority to issue tender documents for the future provision of the Services.
H7.2 The Authority shall take all necessary precautions to ensure that the information referred to in H7.1 is given only to potential providers who have qualified to tender for the future provision of the Services.
H7.3 The Authority shall require that all potential providers treat the information in confidence; that they do not communicate it except to such persons within their organisation and to such extent as may be necessary for the purpose of preparing a response to an invitation to tender issued by the Authority; and that they shall not use it for any other purpose.

H6.1 Termination or expiry of the Contract shall be without prejudice to any rights and remedies of the Contractor and ▇▇▇ accrued before such termination or expiration and nothing in the Contract shall prejudice the right of either Party to recover any amount outstanding at such termination or expiry.
H6.2 At the end of the Contract Period (and howsoever arising) the Contractor shall forthwith deliver to ▇▇▇ upon request all ▇▇▇’▇ Property (including but not limited to materials, documents, information) relating to the Contract in its possession or under its control or in the possession or under the control of any permitted suppliers or sub-contractors and in default of compliance with this Clause ▇▇▇ may recover possession thereof and the Contractor grants licence to ▇▇▇ or its appointed agents to enter (for the purposes of such recovery) any premises of the Contractor or its permitted suppliers or sub-contractors where any such items may be held.
H6.3 At the end of the Contract Period (howsoever arising) and/ or after the Contract Period the Contractor shall co-operate free of charge with ▇▇▇ and any new contractor appointed by ▇▇▇ to continue or take over the performance of the Contract in order to ensure an effective handover of all work then in progress.
H6.4 The provisions of this Clause shall survive the continuance of this Contract and indefinitely after its termination.

H6.1 At the expiry or earlier termination of the Contract Period (howsoever arising) the Contractor shall immediately deliver to the Authority or as directed upon request all Property (including materials, documents, information and access keys) used in the performance of its obligations under the Contract in its possession or under its control or in the possession or under the control of any permitted suppliers or Sub-contractors and in the event the Contractor fails to do so, the Authority may recover possession thereof and the Contractor grants a licence to the Authority or its appointed agents to enter (for the purposes of such recovery) any premises of the Contractor or its permitted suppliers or Sub-contractors where any such items may be held.
H6.2 At the expiry or early termination of the Contract Period (howsoever arising) and/or after the Contract Period the Contractor shall provide assistance to the Authority and the Replacement Contractor in order to ensure an effective handover of all work then in progress. Where the end of the Contract Period arises due to the Contractor’s Default, the Contractor shall provide such assistance at nil charge. Where the contract ends for other reasons the Authority shall pay the Contractor’s reasonable costs of providing the assistance and the Contractor shall take all reasonable steps to mitigate such costs.

Recovery upon Termination. 40.1 Termination or expiry of the Agreement shall be without prejudice to any rights and remedies of the Company and the Council accrued before such termination or expiration and nothing in the Agreement shall prejudice the right of either Party to recover any amount outstanding at such termination or expiry.
40.2 At the end of the Term (and howsoever arising) the Company shall forthwith deliver to the Council upon request all the Council Assets (including but not limited to materials, documents, information, access keys) relating to the Agreement in its possession or under its control or in the possession or under the control of any permitted suppliers or sub- contractors and in default of compliance with this clause the Council may recover possession thereof and the Company grants a licence to the Council or its appointed agents to enter (for the purposes of such recovery) any premises of the Company or its permitted suppliers or sub-contractors where any such items may be held.
40.3 At the end of the Term (howsoever arising) and/or after the Term the Company provide assistance to the Council and any New Supplier appointed by the Council to continue or take over the performance of the Agreement in order to ensure an effective handover of all work then in progress. Where the end of Term arises due to the Company’s default, the Company shall provide such assistance free of charge. Otherwise the Council shall pay the Company’s reasonable costs of providing the assistance and the Company shall take all reasonable steps to mitigate such costs.
40.4 The provisions of this clause shall apply during the continuance of this Agreement and indefinitely after its termination.
