No Disabling Code. Provider shall not knowingly cause any disabling code to be incorporated into Products.
No Disabling Code. Vendor will not knowingly cause any disabling code to be incorporated into the Software.
No Disabling Code. With respect to the Licensed Software (including any Updates or Upgrades) and as of the date of delivery, StataCorp represents and warrants that (i) it has used commercially reasonable efforts consistent with industry standards to scan for and remove any software viruses, and (ii) it has not inserted any Disabling Code. “Disabling Code” means computer code inserted by StataCorp that is not addressed in the Documentation and that is designed to delete, interfere with, or disable the normal operation of the Products. This Disabling Code warranty does not apply to StataCorp passwords necessary for the operation of the Licensed Software, to the Licensed Software’s Activation Key requirement, or for any use by Customer outside the scope of the license.
No Disabling Code. The Software does not contain, and Vendor shall not insert into the Software any Disabling Code. Vendor shall use up-to-date, appropriate and commercially available virus scanning software (e.g., McAfee, Norton) and shall institute and follow reasonable virus scanning procedures. Vendor shall take commercially reasonable precautions so that Vendor does not transmit a Virus to any Insurint computing system.
No Disabling Code. Developer represents and warrants to TDC that the users of any Application will not receive or experience any virus, worm, trap door, back door, timer, clock, counter, or other limiting routine, instruction, or design that would modify or erase data or programming or otherwise cause end user’s system to become inoperable or incapable of being used in the full manner for which it was designed and created (collectively, a “Disabling Code”). In the event a Disabling Code is identified, without limiting any other obligation of Developer or right of TDC, Developer shall immediately take all steps necessary, at no additional cost to TDC or any end user, to restore and/or reconstruct any and all data lost by each effected party as a result of such Disabling Code.

With respect to the Licensed Software (including any Updates or Upgrades) and as of the date of delivery, BIO- LOGIC represents and warrants that (i) it has used commercially reasonable efforts consistent with industry standards to scan for and remove any software viruses, and (ii) it has not inserted any Disabling Code. “
No Disabling Code. Vendor warrants that Vendor will not code or knowingly introduce in any software Deliverable any viruses, worms, disabling codes, trap doors, trojan horses, time bombs or other computer codes, the purpose of which are to disable or interrupt the operating of a computer system, allow Vendor to access CSC’s network or computer systems, or destroy, erase or otherwise harm any data, software or hardware. Vendor agrees to use industry standard virus detection software to screen all software Deliverables before they are delivered.

With respect to the Licensed Software (including any Updates or Upgrades) and as of the date of delivery, Optys represents and warrants that (i) it has used commercially reasonable efforts consistent with industry standards to scan for and remove any software viruses, and (ii) it has not inserted any Disabling Code. “Disabling Code” means computer code inserted by Optys that is not addressed in the Documentation and that is designed to delete, interfere with, or disable the normal operation of the Products. This Disabling Code warranty does not apply to Optys passwords necessary for the operation of the Licensed Software, to the Licensed Software’s Activation Key requirement, or for any use by Customer outside the scope of the license.
No Disabling Code. SAP warrants and represents that it has taken reasonable steps to test the Software for Disabling Code (as defined herein) and to the best of its knowledge, the Software is free of Disabling Code as of the date of delivery by SAP. “Disabling Code” is defined as computer instructions that alter, destroy or inhibit the licensed Software and/or Licensee’s processing environment, including but not limited to other program’s data storage and computer libraries, programs that self-replicate without manual intervention, instructions programmed to activate at a predetermined time upon a specified event, and/or programs purporting to do a meaningful function but designed for a different function.
No Disabling Code. During the Hosting Term, Vendor represents and warrants that prior to delivery of the American Well System to Elevance Health it has successfully tested the American Well System to determine if the American Well System contains threats known as software viruses, time or logic bombs, trojan horses, worms, trap doors or other functions, instructions, devices or techniques, whether implemented by electronic, mechanical or other means, that can or were designed to erase data or programming, infect, disrupt, damage, disable or shut down a computer system or any component of such computer system, including, but not limited to, its security or user data, or otherwise cause the American Well System to become inoperable or incapable of being used in accordance with the American Well Documentation.
