Disabling Code Warranty. Vendor represents, warrants and agrees that the Services do not contain, and Xxxxxxxx will not receive from the Vendor, any virus, worm, trap door, back door, timer, clock, counter or other limiting routine, instruction or design, or other malicious, illicit or similar unrequested code, including surveillance software or routines which may, or is designed to, permit access by any person, or on its own, to erase, or otherwise harm or modify any City system or Data (a "Disabling Code"). In the event a Disabling Code is identified, Vendor shall take all steps necessary, at no additional cost to Xxxxxxxx, to: (a) restore and/or reconstruct all City Data lost by Xxxxxxxx as a result of Disabling Code; (b) furnish to Xxxxxxxx a corrected version of the Services without the presence of Disabling Codes; and, (c) as needed, re-implement the Services at no additional cost to Xxxxxxxx. This Warranty shall remain in full force and effect as long as this Agreement remains in effect.
Disabling Code Warranty. No software or services to which the City is provided access and use hereunder contains any undisclosed disabling code (defined as computer code designed to interfere with the normal operation of the software or the City’s hardware or software) or any program routine, device or other undisclosed feature, including but not limited to, a time bomb, virus, drip-dead device, malicious logic, worm, Trojan horse, or trap door which is designed to delete, disable, deactivate, interfere with or otherwise harm the software or the City’s hardware or software.
Disabling Code Warranty. Contractor represents and warrants that it shall not insert any time-bombs, drop-dead or disabling devices, back doors or similar items or invoke any code which could have the effect of disabling or otherwise shutting down any portion of Owner’s computer software or system.
Disabling Code Warranty. Systemates represents, warrants and agrees that the Software and Services do not contain and CUSTOMER will not receive from Systemates any virus, worm, trap door, back door, timer, clock, counter or other limiting routine, instruction or design, or other malicious, illicit or similar unrequested code, including surveillance software or routines which may, or is designed to, permit access by any person, or on its own, to erase, or otherwise harm or modify any CUSTOMER system or Data (a "Disabling Code"). In the event a Disabling Code is identified, Systemates shall take all steps necessary, at no additional cost to CUSTOMER, to:
(a) restore and/or reconstruct any and all Data lost by CUSTOMER as a result of Disabling Code; (b) furnish to CUSTOMER a corrected version of the Software and Services without the presence of Disabling Codes; and, (c) as needed, re-implement the Software and Services at no additional cost to CUSTOMER. This warranty shall remain in full force and effect as long as this Agreement remains in effect.
Disabling Code Warranty. V-ONE represents and warrants to Citrix that the Product does not contain and will not receive from V-ONE's data transmission via modem or any other V-ONE medium any virus, worm, trap door, back door, timer, clock, counter or other limiting routine, instruction or design that would erase data or programming or otherwise cause the Product to become inoperable or incapable of being used in the full manner for which it was designed and created (collectively, a "DISABLING CODE"). In the event a Disabling Code is identified, V-ONE shall take all steps necessary, at no additional cost to Citrix, to: (a) restore and/or reconstruct any and all data lost by Citrix or an End User as a result of such Disabling Code; and (b) furnish new copies of the Products without the presence of Disabling Codes.
Disabling Code Warranty. Except as specified below, Supplier represents and warrants to MetroPCS that any Software provided by Supplier hereunder does not, at the time of delivery and installation by Supplier, contain and will not receive from Supplier’s data transmission via modem, link, internet, or any other Supplier medium any virus, spyware, malware, worm, trap door, Trojan horse, back door, timer, clock, counter or other limiting routine, instruction or design that would erase data or programming or that was otherwise created to cause any Product to become inoperable or incapable of being used in accordance with the Documentation (collectively, a “Disabling Code”) including, without limitation, any limitations that are triggered by: (a) the Software being used or copied a certain number of times, or after the lapse of a certain period of time; (b) the Software being installed on or moved to a central processing unit or system that has a serial number, model number or other identification different from the central processing unit or system on which the Software was originally installed; or (c) the occurrence or lapse of any similar triggering factor or event. As an exception to the above, Supplier represents and warrants to MetroPCS and MetroPCS acknowledges that certain Supplier Product may contain programming which restricts and/or limits access to the features and functionality of such Product subject to MetroPCS making payment for such features or functionality and utilizing the purchased hash code or pass code needed to access such features or functionality. If a Disabling Code is identified, Supplier shall take all steps necessary, ***, to: (d) restore and/or reconstruct any and all data lost by MetroPCS as a result of such Disabling Code; (e) furnish to MetroPCS a new copy of the Software without the presence of Disabling Codes; and (f) install and implement such new copy of the Software. On each annual anniversary of the Effective Date, a Supplier officer shall certify to MetroPCS in writing that Supplier is in compliance with its representation and warranty set forth in this Section. This warranty shall remain in full force and effect until***.

Examples of a Disabling Code shall include without limitation, any limitations that are triggered by: (a) the Software being used or copied a certain number of times, or after the lapse of a certain period of time; (b) the Software being installed on or moved to a central processing unit or system that has a serial number, model number or other identification different from the central processing unit or system on which the Software was originally installed; or (c) the occurrence or lapse of any similar triggering factor or event. In the event a Disabling Code is identified, Supplier shall take all steps necessary, at no additional cost to University, to: (a) restore and/or reconstruct any and all data lost by University as a result of Disabling Code; (b) furnish to University a new copy of the Software without the presence of Disabling Codes; and, (c) install and implement the new copy of the Software at no additional cost to University. This warranty shall remain in full force and effect as long as the Grant of License remains in effect.
Disabling Code Warranty. Paradigm represents and warrants that the ----------------------- Licensed Software does not contain and will not receive from any Paradigm data transmission via modem or other Paradigm medium, any virus, worm, trap door, back door, timer, clock, counter or other limiting routine, instruction or design that would erase data or programming or otherwise cause the Licensed Software, and any Evolve Product working with the Licensed Software as part of an Integrated Offering, to become inoperable or incapable of being used in the full manner for which it was designed and created (a "Disabling Code") including, without limitation, any limitations that are triggered by:
(a) the Licensed Software being used or copied a certain number of times, or after the lapse of a certain period of time; (b) the Licensed Software being installed on or moved to a central processing unit or system that has a serial number, model number or other identification different from the central processing unit or system on which the Licensed Software were originally installed; or (c) the occurrence or lapse of any similar triggering factor or event. In the event Paradigm introduces any Disabling Codes in the Licensed Software, Paradigm shall: (w) take all steps necessary at Paradigm's sole cost to test a new copy of the Licensed Software for the presence of Disabling Codes; (x) furnish to Evolve a new copy of the Licensed Software without the presence of Disabling Codes, (y) install and implement such new copy of the Licensed Software at no additional cost to Evolve; and (z) take all steps necessary, at Paradigm's sole cost, to restore any and all data or programming lost by Evolve as a result of such Disabling Code.

In the event a Disabling Code is identified, Contractor shall take all steps necessary, at no additional cost to City, to: (a) restore and/or reconstruct any and all Data lost by City as a result of Disabling Code; (b) furnish to City a corrected version of the Services without the presence of Disabling Codes; and, (c) as needed, re-implement the Services at no additional cost to City. This warranty shall remain in full force and effect as long as this Agreement remains in effect.
Disabling Code Warranty. The Contractor represents and warrants to UNHCR that the Services as described in Annex B shall not contain, any virus, worm, trap door, back door, timer, clock, counter or other limiting routine, instruction or design, or other malicious, illicit or similar unrequested code, including surveillance software or routines which may, or is designed to, permit access by any person, or on its own, to erase, or otherwise harm or modify any UNHCR Data or any system, server, facility or other infrastructure of UNHCR (collectively, a "Disabling Code”). All Contractor’s personnel, subcontractors and agents directly involved in the delivery of the Services shall be trained in UNHCR’s security requirements in mandatory UNHCR training courses or approved materially equivalent training in secure coding practices. Except with the prior written authorization of UNHCR, the Contractor’s personnel, subcontractors or agents shall not: (a) introduce or install any software, tools or utilities whatsoever on UNHCR computer equipment; (b) connect their own computers to the UNHCR computer network; or (c) introduce any magnetic or optical information technology storage media into UNHCR computer equipment, or download any program or file whatsoever from the Internet into UNHCR computer equipment, unless such actions are pursuant to routine UNHCR information technology management and maintenance procedures, using files or media from a known and approved source such as the official providers of application, database or utility software. If Contractor's personnel, subcontractors or agents will use their own equipment (personal, or provided by the Contractor) to access UNHCR information systems, such equipment shall meet a minimum baseline, including current operating system, current OS and application patches, full-disk encryption, current antivirus and/or EDR tool. The equipment should be kept physically secure at all times, and should not be shared with others. Any software security defects caused by the Contractor’s staff personnel, subcontractors or agents shall be remedied by the Contractor without any additional costs for UNHCR.
